**Company Secretarial Administrator - Sandton**

A Global Law firm situated in Melrose Sandton is seeking a Company Secretarial Administrator to join their Company Secretarial division of their Corporate Commercial Department team. They provide a variety of services across different practice areas. Their clients include local, national and international companies across a broad range of business sectors. These range from emerging businesses to multinationals, listed and unlisted companies.

***Key Deliveries**

**Duties and Responsibilities**
- General corporate secretariat work including
- the incorporation, restructuring, deregistration and winding up of companies (private, public, non-profit and external) and other juristic persons (such as close corporations and trusts)
- drafting of checklists;
- preparation of all changes in respect of company secretarial documentation such as change of directorship (including board/shareholder resolutions) (CoR39), change of financial year end (CoR25), change of registered office (CoR21.1) change of auditors and company secretary (CoR44) and attending to preparation of documents for lodgement with the Companies and Intellectual property Commission (“CIPC”), attending to share transfers (including board resolutions, share transfer forms and share certificates); and
- assisting clients with share registers etc;
- Drafting of resolutions and company secretarial documents including
- shareholders’ resolutions in respect of amendments to Memorandum of Incorporation (including changes in respect of share capital (such as increase of share capital, reduction of share capital, cancellation of classes of shares), change of name and ring-fencing) and supporting CoR-forms;
- board reports in respect of conversion of shares;
- board resolutions including conversion of shares, any company amendments etc
- shareholder resolutions in respect of appointment of directors;
- assisting principal with the preparation of annual general meeting notices etc;
- Advising on company secretarial processes and functions including attending meetings, taking minutes of shareholder and/or board meetings, advising colleagues (including senior practitioners) on the process and procedure of CIPC, supporting documentation required for filing with CIPC, time periods, filing fees etc;
- Annual returns and CIPC filings including informing clients of obligation to file upcoming and/or outstanding annual returns, attending to payment of annual returns on behalf of clients and colleagues and ensuring that the annual financial statements are lodged with CIPC;
- Liaising with/advising clients including attending meetings with colleagues and clients and advising clients in respect of company secretarial process and procedure;
- Advising on the Companies Act and corporate governance including advising on the company secretarial framework under the Companies Act, 2008 and “best practice” corporate governance;
- Liaising with CIPC in respect of amendments required to registered documentation and/or queried documents, reviewing and distributing practice notes, etc.
- Liaising with their London and other international offices;
- Ad hoc Co Sec related training internally and to clients;
- Regular maintenance of company statutory records;
- Conducting research of clients (including senior practitioners and compiling memos;
- Attending to monthly billing procedures and submitting invoices to clients.
