Are you a seasoned professional with expertise in corporate governance and compliance? We’re seeking a dynamic **Company Secretary** to provide exceptional secretarial and governance support to our Board of Directors and executive management.

**About the Role**
As the Company Secretary, you’ll play a key role in ensuring statutory compliance, promoting corporate governance best practices, and supporting strategic projects. This position is integral to maintaining the company’s legal and regulatory standing, particularly in the property development and hospitality sectors.

**Key Responsibilities**:

- ** Governance & Compliance**: Ensure compliance with the Companies Act and industry-specific regulations. Maintain up-to-date knowledge of corporate governance requirements.
- ** Board Administration**: Prepare agendas, take minutes, and coordinate Board and committee meetings. Facilitate the onboarding of new Board members.
- ** Shareholder Relations**: Manage shareholder communication, organize AGMs, and oversee compliance with disclosure requirements.
- ** Risk Management**: Develop and monitor risk frameworks, maintain statutory records, and ensure internal policies align with governance standards.
- ** Strategic Support**: Advise on property and hotel lease agreements, contribute to due diligence for acquisitions, and support strategic projects.

**What We’re Looking For**:

- A **Bachelor's degree** in Law, Finance, Business, or a related field.
- Membership with a recognized professional body (e.g., Institute of Chartered Secretaries and Administrators).
- ** 5+ years of experience** in a similar role, ideally in property development or hospitality.
- Expertise in corporate governance, compliance, and property development processes.
- Proficiency in legal documentation, financial acumen, and corporate software systems.
- Exceptional organizational, communication, and project management skills.
