To assist the Company Secretary or Secretaries to manage bank compliance with relevant statutory and regulatory requirements that ensures correct compliance with the Companies Act, Banks Act and other relevant legislation and governance such as King IV.
To provide high quality, timely, and effective secretariat, and corporate governance support to the wide variety of subsidiary entities and entities controlled by the company, including those incorporated in South Africa and internationally
Are you someone who can- Ensure that the company complies with legal, governance, corporate secretarial requirements and maintains its high standards of corporate governance- Prepare agendas and papers for board and committee meetings, and annual general meetings (AGMs), including pack loading on Diligent, and follow up on action points from meetings- Draft professional and accurate minutes, chairman notes, and various resolutions as required- Ensure policies under the purview of GLE are kept up to date and maintained- Maintain statutory books, including registers of members, directors, and secretaries and lodge the required CIPC statutory documents, forms and annual returns- Ensure compliance with relevant statutory, legislative, policy and governance requirements in area of accountability- Deal with correspondence, collate information and write reports, communicate decisions to relevant company stakeholders- Liaise with internal stakeholders as well as external stakeholders such as regulators, service providers, advisers, and auditors- Engage with business and draft integrated report documents- Compile reports that track progress and guide business to make informed decisions- Engage with all company secretariat members and assist to deliver on strategic deliverables- Maintain knowledge on relevant legislative amendments, industry best practices and internal compliance procedures and requirements, and share information and knowledge that benefits the team- Monitor changes in relevant legislation and the regulatory environment, and provide guidance at various meetings- Build working relationships across teams and functional lines to enhance work delivery, collaboration, and innovation- Promote teamwork and inclusivity amongst team members and demonstrate behaviours that respect diversity- Have completed Corporate Governance Professional (CGP) qualification with CGISA- Have a 3-year Bachelor Degree in Commerce or Finance or a LLB qualification- Minimum of 3 - 5 years’ experience in a company secretariat role, preferably in the financial sector- Experience in professional minute taking essential - minutes produced must be of high quality- Overall knowledge of Companies Act, King IV, Banks Act, JSE Listing Requirements and associated statutes and/or regulatory frameworks- Working knowledge and experience in Diligent
