The main purpose of the Junior Company Secretary is to provide professional support to the Company Secretary in fulfilment of the duties and responsibilities of ensuring the Council and its subcommittees meet all legislated and corporate governance requirements and maintains its relevant legislative and regulatory knowledge levels.

Key stakeholders the Company Secretary’s Office will engage with are:

- Council and Sub-Committees
- CEO
- Executive and Senior Management
- Staff
- Service Providers

**Corporate Governance Advisory**
- Provide professional support to the Company Secretary to facilitate the conclusion of the shareholder compact.
- Assist with research and maintenance of knowledge and expertise on related company and governance legislation.
- Assist with the coordination of the Council performance evaluation process.
- Acquisition of Declaration of Interested from Staff and Council members on an annual basis.
- Managing the policy review process and maintaining the policy review register.
- Collating information in response to Internal Audit Requests.

**Council and Sub-Committee Administration and Support**
- Provide support to the Company Secretary for
- Collation of Council and Sub-Committees packs
- Drafting of meeting Agendas
- Recording and Drafting of Minutes and
- Preparing annual meeting schedule
- Provide support to the Company Secretary so that Council and Sub-Committees decisions and actions are documented, communicated (when applicable) and tracked in the approved method and within the agreed time.
- Manage that the Council and Council Sub-Committee documents are stored and managed according to the required security standards by monitoring filing and general document management on a monthly basis.
- Ensuring that meetings are recorded and accurate and reliable minutes are drafted and circulated as per relevant guidelines
- Management of all calendar invitations for all Council and Committee meetings
- Assist with communication in relation to Council decisions to relevant stakeholders and assist with preparation and circulation of any resolutions related to the decisions
- Preparing matters arising and follow up on action points from the Council and Committee meetings for submission to Exco.

**General Governance and Company Secretarial support**
- Provide secretarial support to formal structures and meetings of the organisation on an as and when needed basis.

**Qualifications (including most relevant field of study)**
- Matric
- Relevant computer literacy
- CSSA Qualification from the Chartered Institute of Secretaries (now known as the CGISA)
- LLB/BAdmin/BComm would be advantageous

**Knowledge**
- Ability to forge relationships with other areas of business at all levels
- Shows initiative and assumes responsibility for work.
- A systematic work method, self-motivated and ability to work independently as well as a member of a team.
- Ability to work under pressure
- 1-3 years’ experience in a Junior Company Secretarial Role
- Strong Minute taking experience
