General:

  • Maintain oversight of a portfolio of clients, ensuring efficient administration of client matters;
  • Assist with the management of projects and client takeon processes;
  • Maintain strong relationships with existing clients by becoming a key contact person.

Governance:

  • Attend board and committee meetings; prepare minutes and resolutions; prepare round robin resolutions as required.
  • Stay abreast of industry developments, regulatory and legislative changes in relation to corporate governance;
  • Provide proactive guidance inside and outside of meetings;
  • Ensure that the Company's statutory registers and other official related records/ documents are correct and up to date;
  • Draft all company resolutions, obtain signatures and file;
  • Provide Best Practice advice in line with with regulations and other governance codes;
  • Conduct and prepare draft Board Evaluation Reports for circulation;
  • Analyze and prepare Focus Area Reports for clients based on the Board Evaluation Outcomes;
  • Review and draft Board and Committee Charters as required for clients;
  • Ability to manage demands from various stakeholders and clients; and
  • Ability to train directors on their duties and requirements.

Skills/experience:

  • CIS qualification will be advantageous;
  • Sound knowledge of the Companies Act and King IV;
  • Sound knowledge of corporate law and corporate governance principles;
  • Ability to write accurate minutes which are a true reflection of meeting proceedings;
  • Ability to facilitate multidisciplinary projects at any given time;
  • Ability to delegate and manage compliance processes insofar as necessary;
  • Welldeveloped communication and presentation skills;
  • Analytical and problemsolving skills;
  • Report writing skills;
  • Sound interpersonal skills;
  • Exceptional planning and organizing skills;
  • Highest level of integrity and good judgement;
  • Excellent computer skills; and
  • Attention to detail.
