Job Title: Company Secretary

At Tshimo Placements, we are seeking a highly skilled and experienced Company Secretary to join our team. The successful candidate will be responsible for managing the Company Secretariat function, developing and maintaining relationships with stakeholders, and ensuring compliance with corporate governance frameworks.

Key Responsibilities:
  • Manage the Company Secretariat function, including developing and implementing governance policies and procedures.
  • Develop and maintain relationships with current and potential stakeholders to ensure service level requirements are met and to protect the company's interests.
  • Manage Board governance and compliance, including ensuring adherence to corporate governance frameworks and legislation.
  • Ensure organisational compliance, including developing and implementing policies and procedures to ensure compliance with relevant laws and regulations.
  • Provide effective secretarial support to the Board and management.
  • Develop organisational ethics policy framework, including developing and implementing policies and procedures to ensure compliance with relevant laws and regulations.
  • Manage compliance with the annual budget, including developing and implementing financial policies and procedures to ensure compliance with relevant laws and regulations.
  • Ensure optimisation and availability of resources that facilitate service delivery in the unit.
Requirements, Knowledge and Experience:
  • LLB or equivalent NQF level 8 qualification.
  • 8-10 years working experience, with 3-5 years at a management level.
  • A proven track record within a broad corporate secretariat/ legal environment.
  • Knowledge and understanding of corporate governance frameworks, including the King Report IV and the Protocol on Corporate Governance in the Public Sector.
  • A good understanding of government structures and the relationships between government (as a shareholder) and public entities.
  • Working knowledge of legislation affecting the business and its implications on the Board.
  • Change management skills.
  • Legislative and statutory expertise.
