About the Role

We are seeking a highly skilled and experienced Deputy Company Secretary to join our team at AECI. As a key member of our Group Secretariat, you will play a critical role in ensuring the effective governance and compliance of our organization.

Key Responsibilities
  • Reporting and Compliance: Assist in drafting various reports as part of our Integrated Report, ensuring accuracy and adherence to regulatory requirements.
  • Board and Committee Support: Play a key role in preparing Board and Committee documents, ensuring timely and accurate delivery.
  • Compliance and Risk Management: Collaborate with the Group Compliance Officer to ensure compliance with relevant legislation and regulations, identifying and mitigating potential risks.
  • Policies and Procedures: Draft and implement internal governance policies, procedures, and internal controls to ensure effective management of the Group Secretariat function.
  • Regulatory Compliance: Ensure compliance with JSE listing rules, including drafting market announcements, regulations, company law, and corporate governance guidelines.
  • Meeting Management: Provide detailed project management of Executive, Board, and Committee meetings, ensuring smooth execution and effective decision-making.
  • Meeting Administration: Attend and participate in Board meetings, prepare agendas and papers, and ensure accurate and timely documentation.
  • Team Leadership: Provide expert assistance to the Group Investor Relations Office and lead the Group Secretariat Team, fostering a strong and cohesive team culture.
  • Team Development: Recruit top talent, create an inclusive and high-performing team culture, and provide technical direction and guidance to the Group Secretariat team.
Requirements
  • Proven experience as a Deputy Company Secretary or similar role.
  • Strong knowledge of corporate governance, compliance, and regulatory requirements.
  • Excellent communication and project management skills.
  • Ability to work effectively in a team environment.
  • Strong leadership and technical skills.
