Assistant Company Secretary

**Essential Requirements**:
- Relevant Degree.
- Grad ICSA.
- Min 3 years Company Secretarial experience.
- Companies Act experience (non-negotiable).
- CIPC experience essential.
- Board minute taking experience essential.
- Confident and able to influence at Board Level.
- JSE Listed experience.
- Understand share incentive schemes.
**The Job**:
- Meeting facilitation:
- draft agendas, attend and provide guidance at meetings, and draft and circulate the minutes and action lists from the meetings timeously.
- Administration of Non-Executive remuneration and share incentive schemes:
- ensure compliance with the rules of the schemes;
- manage communication and payment of remuneration.
- Governance & Compliance:
- ensure standards are implemented for the Group, in terms of King IV and Companies Act;
- manage conflict of interest, induction of Directors, update Charters and Terms of References;
- oversee statutory compliance for all legal entities within the Group;
- ensure transactions undertaken by business are compliant with the Group delegation of authority, draft resolutions and obtain the requisite approvals.
- Reporting and Administration:
- Board reporting and integrated reporting;
- maintain the Group organogram.
