Job Description

Are you passionate about corporate governance and ensuring regulatory compliance?

A leading organisation is seeking an experienced Assistant Company Secretary to support its Company Secretariat function. This role is ideal for a detail-oriented professional with a deep understanding of corporate governance and compliance frameworks.

Key Responsibilities:

  1. Ensure compliance with the PFMA, Companies Act, PIC Act, King IV, and other relevant legislation and regulations
  2. Promote knowledge and provide guidance on corporate governance matters
  3. Advise and report on compliance issues
  4. Draft and review Committee Terms of Reference and the Board Charter annually
  5. Monitor compliance with Delegations of Authority (DoA) and Terms of Reference (TORs) within allocated Committees
  6. Maintain databases of Directors, subsidiary companies, and signing powers
  7. Assist with administrative duties within the group secretariat (SPVs and GEPF subsidiaries)
  8. Manage declarations of interest and conflicts of interest
  9. Ensure governance processes within the Company Secretariat function are upheld
  10. Liaise with Committee Chairpersons, Executives, and Non-Executive Directors to maintain effective governance
  11. Organise and administer Board and Committee meetings, ensuring accurate minutes and resolutions
  12. Manage Annual Work Plans for allocated Committees and maintain statutory records
  13. Draft and maintain Committee Resolutions, compiling decisions for Board submission

Key Requirements:

  1. Bachelor of Laws (LLB) or equivalent qualification / CIS Level 4
  2. Chartered or Company Secretarial certification would be advantageous
  3. 5 - 7 years of relevant experience within a Company Secretariat environment
  4. Strong and proven minute-taking skills (essential)
  5. In-depth understanding of corporate governance principles
