Company Secretariat and Legal Advisor

Our client in the manufacturing industry seeks to appoint a Company Secretariat and Legal Assistant. To provide service, advice and assistance in terms of legal, company secretarial and corporate governance matters.

The role reports to the Senior Legal Counsel Europe and Africa with a dotted line to the Finance Executive AGP- Africa.

RESPONSIBILITIES

  • Complete required business filings in South Africa including Annual Returns and beneficial ownership information with CIPC
  • Trust filings with the Master in respect of the various trusts
  • Any ad hoc filings as required
  • Provide on the ground support for tasks such as: Obtaining signatures of hard copy documents where needed
  • Organise certification / notarisation of documents as required
  • Keep company records for all African entities and trusts in good order (as per ACD format).
  • Assist on projects / corporate transactions with tasks such as locating and compiling documents.
  • Assist with preparations for board and committee meetings, including attending and taking minutes of meetings.
  • Review and drafting of corporate documents, such as board and shareholder resolutions or share certificates, under supervision of Senior Legal Counsel.
  • Review and draft standard legal documents, such as non-disclosure agreements, supply agreements, customer agreements and finance documents under supervision of Senior Legal Counsel.
  • Provide wider support to the Europe and Africa Legal and Compliance team on similar tasks as required.

MINIMUM REQUIREMENTS

  • B A (LLB) Degree, preferrable, and further legal and company secretarial qualifications would be advantageous.
  • 3-5 years relevant experience in a legal and/or company secretarial role
  • Sound knowledge of company secretarial processes and related statutory requirements.
  • Understanding of corporate governance requirements and processes.
  • Knowledge of legislation and main statutory requirements e.g. Companies Act.
  • Commercial and contract law knowledge would be advantageous.
