Key Performance Areas:
  • Statutory compliance of company and all subsidiaries:
    • Register and amend companies/trusts, update and maintain statutory records and company registers.
    • Maintain a Secretarial system.
    • Prepare resolution and minutes relating to statutory changes.
    • VAT and other statutory registrations.
    • Follow up on annual financial statements of all entities.
    • File annual returns and AFS/Financial Accountability Statement of all Group Entities.
    • Ensure accurate filing of CIPC compliance checklist for all Group entities.
  • Assist the Company Secretary on Governance matters:
    • Update Directors interests in contracts periodically and circulate to the Directors for review and sign-off.
  • Support the secretarial objectives of the Board and Executive Committee.
  • Support to audit processes and support company audit:
    • Communicate with internal and external Audit teams regarding documents required for the audit.
  • Provide efficient support to business, in terms of requests for statutory information:
    • Attend to requests from business on request for statutory information or records.
    • Attend to FICA requests.
  • Provide support to the Board regarding meetings:
    • Assist with arrangements for Board meetings.
    • Conduct travel bookings for Board member and Committee meetings.
    • Ensure there are no technical issues during Board meetings.
  • Invoice payments and purchase orders via SAP:
    • Pay invoices relating to the Company Secretarial function.
    • Payment of relevant fees
  • Any other tasks delegated by the Company Secretary.
