**_Position Purpose: _**
To provide leadership and strategic direction in respect of the formulation, implementation and monitoring of all Governance,
Company Secretariat and Assurance strategies and services in order to enable and embed a pro-active culture of superior
corporate governance, assurance and ethics within Transnet Freight Rail (“TFR”).
**_Position outputs: _**
1. Strategic Management
- Formulate and implement a holistic and integrated Governance and Secretariat strategy and framework aligned to
organisational strategy, relevant legislation, the King Code on Corporate Governance IV and industry best practice.
- Develop and implement an Ethics Management Strategy and Ethics Management Plan for Transnet Freight Rail.
- Provide leadership and guidance in the attainment of the Governance, Secretariat and Ethics strategies and frameworks.
- Manage and oversee the development and improvement of the Transnet Combined Assurance Procedure and Framework
in TFR.

2. Develop, lead and ensure continuous improvement of a Centre of Excellence on all matters of good corporate governance,
ethics and assurance.
- Maintain a sound working knowledge of all legislation, Codes, policies, procedures and industry best practice related to
corporate governance, ethics and assurance.
- Provide thought leadership in respect of the various areas of specialization within governance, secretariat, ethics
management and assurance.
- Develop and conduct governance and ethics culture maturity assessments for TFR.
- Formulate an integrated governance, secretariat and ethics operating model (based on maturity assessments) for
integration into day-to-day operations in order to promote good corporate governance, ethical conduct and emphasizemanagerial responsibility for ethical behaviour.
- Formulate and launch governance and ethics campaigns to embed a governance and ethics culture.
- Provide pro-active leadership, guidance and advisory support to TFR Management, Committees, Corridors and functions on
all aspects of ethics, secretariat and good governance.
- Develop and implement strategic objectives for the Company Secretariat function.
- Ensure effective functioning and continuous improvement of governance structures and committees, including:

- Formulating and implementing standard operating procedures and documents;
- Implementing processes and systems to automate and enhance committee functioning;
- Attending to all aspects of meeting logistics;
- Drafting Terms of Reference;
- Drafting meeting agendas, vetting and distributing meeting packs;
- Liaison with Committee Chairs prior to meetings;
- Providing effective minutes;
- Developing and implementing performance evaluation tools for all committees;
- Development and maintenance of an effective and efficient records management system to ensure safe record keeping and
storage of all secretariat related documentation.
- Maintain the Declarations of Interest Register for TFR and identify and manage conflicts of Interest.
- Manage and cascade the approved Delegation of Authority Framework and Matrix.
- Provide governance and legal advisory services on all aspects of the governance, secretariat and ethics value chain.
- Provide governance and legal advisory services on all procurement related legislation, policies and procedures.
- Provide legal advisory services on all aspects of Labour Law.
- Provide support and advice on contract management implementation.
- Ensure the collection, analysis, research fact finding, collation, evaluation, and assessment of information that could pose
ethics and governance threats by acting pro-actively in the preparation of required solutions to reduce the risk.3.Combined Assurance
- Guide the development, enhancement and execution of the TFR Combined Assurance Plan in response to the TFR risk
profile and line with the Transnet Combined Assurance Framework.
- Conduct research and facilitate continuous improvement of Combined Assurance processes.
- Establish and implement methods and tools to monitor and evaluate adherence to the TFR
