**_ Position Purpose:_**
- Provide strategic leadership and guidance in the management and delivery of legal services across Transnet Freight Rail,
to protect the organisation from undue liability and exposure to risk.
- Provide the relevant assurance with respect to Commercial Law within TFR and contribute to the effectiveness and
efficiency of its governance, control and risk management strategies, policies and processes.
- Identify and drive advanced strategies in Commercial Law to increase the effectiveness of mitigation plans to prevent,
manage and reduce identified business risks.
- Ensure compliance to all relevant existing and emerging legislative and regulatory requirements, and leverage its benefits
towards the attainment of business objectives.
**_Position outputs:_**
1. Lead the development and implementation of sound legal, governance and regulatory frameworks to ensure the
establishment of impeccable practices with relation to commercial law and the legislative and regulatory environment, within
TFR.
2. Develop and influence commercial law policies and procedures to enhance compliance and conformance to relevant
regulations, National Treasury Guidelines as well as Transnet Contract Management Policy and Guidelines.
3. Ensure organisational compliance with prevailing statutory and regulatory requirements, and drive the implementation of
changes in legislation and regulation pertaining to commercial law within the organisation.
4. Lead and provide strategic direction with respect to contract management across TFR, and provide assurance as to the
effectiveness and efficiency of organisational governance, risk management and control measures and processes.
5. Provide expert legal advice in drafting, vetting and amending significant, strategic commercial contracts and agreements
across TFR, ensuring legal soundness and that the interests of the organisation are protected.
6. Minimise TFR’s exposure to litigation risks arising from mediocre or deficient contract management practices by
developing strategies and governance mechanisms to address business risks.
7. Provide thought leadership and legal advice on all legal aspects which may have an impact on procurement
8. Lead the identification, assessment, implementation and monitoring of regulatory requirements, statutory licences, and
codes and standards applicable to TFR.
9. Identify existing and emerging legislation relevant to the business and ensure that risks that may arise from compliance
requirements are understood by leadership.
10. Ensure organisational compliance with prevailing statutory and regulatory requirements, and oversee the implementation
of changes in legislation and regulation within the organisation.
11. Manage the compliance process and engage with all critical business Regulators (e.g. the Rail Safety Regulator).
12. Embed compliance with all key legislation through collaboration with other governance functions such as including
Compliance, Risk Management and Internal Audit.
13. Ensure interface and sharing of lessons learnt with compliance, risk management, governance and litigation.
14. Prepare a departmental resource plan and compile, monitor and control the annual budget.
15. Continually assess the effectiveness / performance of the legal services function and institute improvements as required.
16. Conduct risk assessments and analysis as appropriate to identify key risk areas, and ensure implementation of
appropriate mitigation measures.
17. Ensure mitigation of legal risk exposure through expert and professional legal knowledge and advice.
18. Recommend enhancements to controls to minimise and reduce litigation, legal and contractual risks and ensure that the
required assurance is provided.
19. Development of a legal services model that is agile and innovative.
20. Coach and mentor employees to build internal capacity

- LLB degree
- Admitted Attorney / Advocate of the High Court of South Africa.
- 10-12 years’ experience
