Corporate Governance and Secretarial Services Specialist

Position Overview
PRIMARY OBJECTIVEThe key objective of this position is to deliver a comprehensive professional service to corporate clients. This role encompasses the management of client relationships on a daily basis, providing project management assistance for client transactions, mentoring junior team members, and ensuring timely delivery of all client commitments.
REPORTING STRUCTURE
The role operates within the Corporate Services division and reports directly to the Manager of Corporate Governance and Secretarial Services.
Key Responsibilities
MAIN DUTIES AND ACCOUNTABILITIES
Administrative Duties: Collaborate with Customer Relationship Managers within the Corporate Services team to assist in the management and coordination of all client-related matters, including corporate transactions such as incorporations, liquidations, and capital increases. Serve as the primary point of contact for assigned client relationships, ensuring effective communication and support. Comply with listing requirements for all listed and debt-listed clients, primarily within the jurisdiction, while being informed by international business law as necessary. Organize and prepare standard shareholder resolutions. Coordinate client board meetings and prepare necessary materials for these meetings. Support the client onboarding process by managing workflows and associated requirements. Ensure the upkeep of all statutory and administrative records. Maintain the corporate calendar for assigned structures, ensuring timely management of calendar events and requirements. Facilitate the payment of fees and expenses in accordance with agreements with vendors and suppliers. Collaborate with the AML/KYC team and Business Compliance Officer on periodic due diligence assessments. REQUIRED QUALIFICATIONS AND EXPERIENCE A minimum of 3 to 5 years of relevant experience in company administration, with a preference for experience in Corporate Secretarial duties for listed entities. A solid understanding of company law and the principles governing commercial contracts. Relevant experience in the administration of Private Equity and Debt structures, with exposure to auditors and accountants considered advantageous. Possession of a Corporate Secretarial qualification. A recognized diploma or other relevant financial services qualification is preferred. Educated to at least degree level in Law, Financial Services, or Accountancy. REQUIRED SKILLS AND COMPETENCIES Proficient in English, both written and spoken. Ability to organize work logically and efficiently in a high-pressure environment. Strong commitment to risk management culture. Excellent communication skills, both written and verbal, with the capability to draft documents and comprehend contracts. Proactive and solution-oriented with demonstrated analytical and problem-solving skills.
