AGC Legal Recruitment is working with a leading JSE Listed Manufacturing Company to recruit a highly experienced professional for a Senior Deputy Company Secretarial position. This is a key leadership role that involves governance, compliance, and board management, ideal for someone with extensive experience in listed companies.

Key Responsibilities
  • Integrated Reporting: Assist in drafting critical reports as part of the organisation\u2019s integrated reporting.
  • Board and Committee Documentation: Play a pivotal role in preparing Board and Committee documentation.
  • Compliance and Governance: Support the Group Compliance Officer to ensure compliance with secretariat-related legislation and regulations.
  • Governance Policies and Procedures: Draft internal governance policies, procedures, and internal controls, ensuring compliance within the Group Secretariat function.
  • Listing Rules and Regulations: Ensure full compliance with JSE listing rules, including market announcements and adherence to regulations, company law, and corporate governance standards.
  • Meeting Management: Manage and coordinate all aspects of Executive, Board, and Committee meetings.
  • Board Support: Participate in board meetings, handling agenda preparation, documentation, and minutes.
  • Investor Relations: Provide expert support to the Investor Relations Office and ensure that shareholder meetings are properly convened and professionally documented.
  • Team Leadership: Lead and guide the Group Secretariat Team, fostering a high-performing and inclusive team culture through expert advice, performance management, and employee engagement.
Qualifications and Experience
  • Legal Qualifications: Recognised legal degree (B Com Law/BA Law/LLB) with a relevant postgraduate qualification.
  • Admission to the Bar: Admitted Attorney.
  • Experience: Minimum 10 years\u2019 experience in assistant company secretarial roles.
  • JSE-Listed Experience: Atleast 8 years\u2019 experience with JSE-listed company secretarial matters, including minute-taking.
  • Commercial Knowledge: Extensive experience with the JSE Listings Requirements, Companies Act, and commercial practices.
  • Proven Track Record: Proven track record in managing a secretariat department and advising boards on governance and compliance.
  • Secretariat Expertise: Strong knowledge of drafting board and committee documents and establishing secretariat policies and procedures.
