My client, a group of companies in the agricultural industry based in Stellenbosch has a position available for a Company Secretarial and Legal Administrator. The role is to administer and provide Company Secretarial services and legal administration support related to legal contracts and other documentation. Relevant legal qualification (LLB / BA Law and/or CGISA coupled with 1 - 2 years relevant experience secures.

KEY AREAS OF RESPONSIBILITY:
- The role is to provide administrative support to the Company Secretary and Legal Manager of the Group.
- Prepare documentation, standard contracts and resolutions accurately and arrange for signature.
- Organise and attend board, shareholder, trusts and committee meetings.
- Attend and draft minutes following board, shareholder, trusts and committee meetings.
- Ensure statutory and internal filing timelines are met.
- Maintain statutory and internal company secretarial and legal filing records.
- Maintaining corporate governance documents such as board charters, terms of reference and group organograms.
- Updating and maintaining board and committee meeting calendars and schedules.
- Build relationships internally across the Group and externally with auditors, legal counsel and B-BBEE advisors.
- Any other ad hoc administrative tasks and projects required to support the Company Secretary and Legal Manager.
- Follow processes and procedures, working according to set quality standards and controls.
- Arranging company and trust registration with external assistance.
- Prepare and arrange board/trustee/shareholder meetings, including overseeing the facilities to support such meetings.
- Prepare and distribute agendas, minutes, due dates, action items and meeting packs.
- Attend to B-BBEE certificate requests.
- Assist with collating documentation for B-BBEE audits and queries.
- Meet personal and team targets as the needs arise.
QUALIFICATION & EXPERIENCE:
- Relevant legal qualification (LLB / BA Law and/or CGISA).
- 1-2 years’ experience in a similar role.
- Direct communications with external parties and intermediaries.
- Organizational skills and ability to coordinate external parties. Report writing (drafting and formatting thereof).
- Ability to think critically and interpret information from several sources.
- Knowledge and experience of Microsoft packages, including SharePoint, MS Teams Channels, Excel, Outlook and Word.
- Ability to communicate (verbal and written) fluently in both Afrikaans and English.
- Ability to type and prepare minutes of Board, Shareholder, Trusts and Committee meetings.
- A basic understanding of Company Law. Knowledge of B-BEE requirements will be advantageous.
- Excellent attention to detail and accuracy.
- At least 1 - 3 years current practical and relevant experience with a strong and sound knowledge of the administration, co-ordination and servicing clients (internally or externally) within the company secretarial, corporate governance and legal (or relevant equivalent) field.
- Meticulous attention to detail, quality conscious and understand accountability, maintains a high-level of responsibility and is adaptable.
- Has excellent computer typing skills, with the ability to learn and take initiative.
- Workable and basic understanding of corporate secretarial software, advanced company secretarial administration and basic knowledge of legal documents/ agreements.
- Workable knowledge of acting in the best interest of the Company and can display an intermediate sound knowledge of South African Company law and a basic understanding of foreign jurisdiction Company Law s

- Has the ability to work in a team as well as independently as the need arises.
- Sound planning skills, strong verbal and written communication and can effectively diarise and plan with attention to detail.
- An understanding of delivering within core deadlines and is able to discern urgency and work under pressure.
