In its capacity as shareholder, ENGIE provides support, including legal assistance, to such entities during the projects’ operational phase. Job Purpose The Assistant Company Secretary supports the Company Secretary to ensure effective Company Secretarial services to ENGIE Southern Africa and other ENGIE entities within the Group in accordance with relevant regulations. The role involves carrying out all corporate secretarial services required, guiding Board members on day‑to‑day governance matters, and providing legal and statutory support. Key Responsibilities Meetings Management Development of the annual corporate calendar. Contribution to the coordination and smooth facilitation of Board and sub‑committee meetings. Convening and servicing of Annual General Meetings. Preparation of notices, agendas and circulation for Board meetings, liaising with management. Preparation of notices, agendas, proxies and circulation for Shareholder meetings, liaising with management. Attendance at meetings; preparation of minutes, matters arising and resolutions. Providing legal/governance advice during and outside of meetings. Corporate Administration Ensuring that the Company’s statutory registers and other official records are correct and up to date. Maintaining CoSec systems. All lodgements with the CIPC (appointments, resignations, annual returns, MOI amendments and change of address). Preparation of share certificates and maintenance of share registers for all companies. Knowledge of trust administration. Support for the broader legal team on transactions, including due diligence and document preparation. Corporate Governance Ensuring the correct constitution of governance structures, including the Executive Committee and other Management Committees. Drafting and updating the Delegation of Authority. Identifying directors’ development needs and ensuring ongoing programmes to keep directors well‑informed on relevant legislation. Providing technical expertise and monitoring developments to keep the Board informed. Ensuring compliance of the Company and Board with relevant legislation, internal policies and processes and reporting failures to comply. General Assist the ENGIE Southern Africa General Counsel with legal admin for the smooth running of the Legal Department. Build and maintain relationships with internal and external stakeholders at all levels. Engage with project companies, sharing best practices, organisational information and guidance to align with Group requirements. Take responsibility for and address internal and external audit items. Respond to KYC and general queries regarding Board committees, FICA, SARS, BBBEE verification and auditor queries. Communication and Working Relationships Internal: Legal Department, Project Companies, Company Directors, Management. External: Government Bodies, Law Firms, Banks, SARS. Required Qualifications and Experience Degree : B.Com Law / LLB qualification or other Degree in Business Management or Law; Studying towards a qualification with the Corporate Governance Institute of Southern Africa. Experience : 2 to 4 years relevant experience in supporting the Company Secretary; Experience of minute taking, CIPC lodgements, pack compilation and managing board and sub‑committee meetings.
