  • Objective of the job:
  • To provide Legal Company Secretarial support to the Company Secretary, General Counsel and Board Members. To further support with all the logistics and administration pertaining to Excom, Independent Directors, Board Members and the Legal Department.
  • All activities will be done in compliance with the Company's Integrity Code and other relevant policies.
  • Main:
  • Ensure the smooth running of the Board, its committees and the office of the General Counsel and Company Secretary by assisting with: planning, coordination, managing submissions, deadlines, agendas, general planning and coordination, management of timelines, schedule meetings, dryruns, programs, itineraries and logistics. Coordinate the submission of reports. Organize and prepare agendas, book venues and / or arrange teleconference details. Attend said meetings and ensure that agenda items are followed up on and completed by relevant individuals
  • Assist the Group General Counsel in performing the duties as required by a public company listed on the JSE. Supervise all general office duties to ensure the efficient administration of the department. Manage legal certification processes, legal risk reporting submissions and global legal management meetings. Type and format contracts and general correspondence. Preparation of reports and presentations. Project management coordination and reporting.
  • Ensure the maintenance of accurate and uptodate Board and Sub-Committee attendance registers and minute books. Drafting and executing of extracts of minutes of meetings. Ensuring that all administrative and statutory processes for meetings are complied with. Ensuring that all administrative requirements of the Legal department, General Counsel and Company Secretary is executed. Management of filing and document storage. Cocoordinating all interaction and document requests for external auditors.
  • Act as the operational central point of contact in terms of communication and interaction with the Board and its members. Assisting with the induction of newly appointed directors. Arranges all aspects of international and local visits. Assists with event, accommodation and travel arrangements.
  • Monitoring of budgets, processing of payments and coordination thereof. Performs and maintains administrative record keeping and contract management of directors. Management of service levels and payments of external lawyers and service providers.
  • Selfdevelopment: Take personal responsibility for Learning & Development through a process of assessment, reflection & actioning, including on and/or off the job training, and sharing learnings with team

Knowledge, Skills and Attributes:

  • MS Office Suite (high proficiency in PowerPoint & Word)
  • Excellent organizational skills / Business Administration skills
  • Excellent written and verbal communication skills
  • Excellent project / event management skills
  • Executive secretarial skills
