Senior Debt Transactor

Who are we?
Sanlam Specialised Finance (SanFin) is responsible for creation of shared value for Sanlam, its shareholders, policy holders, and societies with in which it operates by managing financial risk, developing financial products, and balance sheet optimisation, pursuing investments and financing opportunities in assets, sectors, markets, organisations, and geographies that enable maximum return within acceptable risk parameters. What will you do?
Originate, structure and source debt (vanilla, structured, listed, unlisted, local and offshore) for SanFin Financing Solutions. Manage and optimise the credit assets you are responsible for, identify new credit opportunities, and manage relationships with bank syndicate teams, treasurers and CFO/CEOs of our borrowers.
What will make you successful in this role?
1. Deal making (i.e., origination of debt-related transactions), including:
Manage existing borrower relationships, identify new opportunities and participate in refinancing or upsizing of existing facilities
Development and building of new client relationships in order to originate new transactions
Compile written proposals to clients of funding proposals including making marketing presentations to clients and replying to client “RFP’s”
Negotiating terms and conditions of transactions with clients
Preparation of term sheets to clients that form the basis of legal agreements to be drafted
Financial modelling of transactions and preparing cashflows
Liaising with various internal departments (legal, credit, treasury, regulatory, exchange control, etc) as well as with external advisors (lawyers, accountants, tax advocates, etc) as is necessary to implement transactions
Interacting with other financial institutions in implementing syndicate or club type transactions
Commenting on various legal agreements entered into to give effect to transactions
Management of deals through the full life cycle of the transaction
2. Group interaction and functions
Ongoing interaction within the Financing Solutions team and Market Solutions team
Ongoing interaction with Sanlam, SI and other clusters
To be a centre of expertise on Credit for the Sanlam group
3. Structuring
Consideration of market risk, tax, regulatory, legal and accounting related matters, etc including interaction with experts Additional Skills and Competencies
Deep understanding and appreciation of credit risk when evaluating transactions
Understanding of market risks
Ability to structure a transaction appropriately to mitigate identified risks as far as possible
Deal making/debt origination skills - ability to conceive, structure and implement complex transactions.
Strong negotiation skills (including contract negotiation)
Strong interpersonal skills to deal with clients, colleagues and to cooperate with other Sanlam business clusters
Sound marketing skills. Must have a good network within the debt market
Financial modelling skills/sound numerical skills
Good knowledge of accounting standards
Good written and verbal communication skills (including ability to make presentations, etc. to a technical audience, to clients, to internal credit committees, etc.) in order to motivate transactions
Ability to analyse corporates and identify those corporates best suited to debt funding.
Must be able to analyse financial statements and management interactions, with a view to identifying business risks that corporates may be exposed to, which affects the credit risk in a transaction
Hands on capital market experience including deal experience in corporate bonds, loans, asset backed finance, securitisations, credit derivatives, etc.
At least 7 years’ experience in South African credit markets in an origination role Qualification and Experience Degree or Diploma with 10 to 12 years related experience. Knowledge and Skills Investment strategies and management of complex investments Responsible for originating and securing complex private equity investment transactions. Investment Industry Knowledge Negotiates deals with third parties and will present proposed deals to the Credit Committee.
