**Job Specification**

The incumbent would be responsible for all activities associated with that of corporate governance, risk advisory, legal advice, commercial litigation, and compliance.

**Minimum Requirements**

Applicants for this position must be in possession of a relevant Tertiary Qualification (LLB) and an admitted legal practitioner. Must be well versed in corporate and commercial law, JSA regulations and listing requirements with a minimum of 5 years’ related experience. Other requirements include
- Expert knowledge of governance and legislation frameworks in terms of the Companies Act, Consumer Protection Act & King IV, Corporate & Commercial work, Compliance work, Microsoft Office Packages (Excel; PowerPoint; Word). Meticulous attention to detail, good organisational, communication and administrative skills is essential. Previous experience and a proven Company secretarial & Legal track record of working in a corporate environment will be to your advantage.

**Key performance indicators include**:
**Legal Advice and Support **Draft, review and negotiate a wide range of forms of agreements (confidentiality agreements, letters of intent; memorandum of understanding, term sheets, partnership agreements; joint development agreement, shareholders agreements, lease agreements, supplier agreements; acquisition and sale of assets, share purchase agreements, finance agreements, etc.).
- Anticipate the legal needs, alert, advise and propose appropriate solutions to the business.
- Assist with legal and compliance advice and assist legal counsel when necessary, drafting of various legal documents applicable to the corporate legal and retail environment, assist with research and training on all relevant changes to legislation and related matters.** Litigation and Dispute Resolution ** Collaborate with external counsel on open matters, managing litigation processes and ensuring effective representation
- Assist the business in resolving disputes with clients or other stakeholders, including mediation and arbitration support **Compliance with regulatory environment ** Oversee compliance with regulatory requirements, **Keeping of statutory registers and records **CIPC compliance checklist submissions ** Keeping abreast of all statutory obligations and updates relating to relevant laws and regulations including but not limited to the Companies Act ** Johannesburg Stock Exchange (JSE) listing requirements and King IV (Corporate Governance), Competition Act, POPIA, etc. and compliance therewith **Timeous submission of annual returns for each company in the group **Developing, updating and implementing the Decision-making Framework. **Board meeting planning and logistics **Assistance with compiling and planning meeting agendas in conjunction with the Head of Legal and Company Secretariat & relevant Managing Directors **Preparation of board packs & timeous circulation thereof **Liaise with relevant stakeholders in respect of, and assist in co-ordinating and planning all Boards meetings, Annual General Meetings, sub-committee meetings, and arrange venues, travel, parking and catering.
