Assistant Company Secretary

**About the Role**
An exciting opportunity has arisen to join a highly motivated, multi-jurisdictional team. In this role you will provide a broad range of corporate secretariat / corporate governance services in respect of Swiss Re legal entities located in Africa.
Your role will include:
- Prepare annual corporate calendar for consideration and approval by the Company Secretary, Committees and the Board;
- Prepare agendas and meeting packs for Board and Committee meetings including quality control of all reports submitted;
- Send out meeting invites for Board and Committee meetings;
- Type minutes of meetings and action items / matters arising from the meetings for approval by the Company Secretary;
- Draft Board and Shareholder resolutions and lodge required documents and annual returns with the Companies and Intellectual Property Commission (CIPC);
- Keep the Company Memorandum of Incorporation and share registers updated;
- Maintenance of the filing system and registers (paper and digital);
- Handling requests for corporate documents from internal clients, auditors or regulators;
- Develop and maintain templates and standard procedures for corporate secretariat tasks;
- Collaborate with other members of the Corporate Governance EMEA Team and the wider Legal & Compliance Division.
**About You**
We are looking for an Assistant Company Secretary with a law degree and/or Company Secretarial Qualification with at least 3 to 5 years Post Qualification Experience in a similar role - preferably in a re/insurance or financial organization in South Africa.
In addition, you should have the following skills & experience:
- You are familiar with corporate governance requirements applicable to regulated companies and you have excellent organizational and minutes drafting skills as well as an eye for details.
- You have a comprehensive practical knowledge and understanding of the Companies and Intellectual Property Commission (CIPC) processes, the Corporate Governance and King IV Report and the Companies Act and its amendments (knowledge of the Insurance Act and Prudential Standards would be a plus).
- You are well-versed in handling Senior Management requests.
- You have excellent verbal and written communication skills in English and you are a proficient user of MS Office products such as Outlook, Excel, Word, Power Point.
- You are confident in your ability to drive matters independently while balancing the need to collaborate and maintain an appropriate level of communication and coordination with the rest of your peers.
- You demonstrate accountability, resilience when facing challenges and you are fully reliable, responsive and display a high level of energy.
- You are recognised by clients for being a reliable person, your sense of urgency and commercial mindset, and by colleagues for being a pro-active teammate with excellent inter-personal skill and a good sense of humour
**About the Team**
The Corporate Governance EMEA team is a multi-jurisdictional team composed of 8 Legal Counsels and Company Secretaries based in Bratislava, Luxembourg, London and Zurich, providing corporate governance and corporate secretariat services to legal entities of the Business Unit Reinsurance and of Group Operations in EMEA and their branches.
As dedicated partner of board and committee members of in scope entities, the team is accountable for compliance with corporate governance laws, regulations and internal requirements.
