Our client, one of the biggest banks in South Africa based in Johannesburg who is a firm believer in technical innovation and leading-edge financial solutions is urgently looking for Senior Manager: Equity Risk to firstly assess, value and manage the various Equity books across the bank (including those in wholesale, retail and wealth), secondly to assess the equity risk related to ECM (Equity Capital Markets) transactions, thirdly to assess the quasi-equity risk related to equity financing transactions in respect of BEE transactions or other for the EF&I (Equity Finance and Investments team) and fourthly to assess the equity risk of the group’s strategic investments related to its digital future-ready strategy.

**In order to be considered the following is required**:
**Degree: Commerce, Finance and/or Engineering**

**Masters Degree: Finance and Accounting**

**Professional Banking Qualification**

**CFA / CA (SA) / CIMA, BSE Engineering**

**Credit / Risk Management Qualifications (FRM / PRM)**

**5 - 7 years’ experience working on structured transactions, mergers and acquisitions and/or project finance deals and investment vehicles.**

**5 - 7 years’ experience interpreting company financials (balance sheets, cash flow projections but with specific experience in mergers, valuation or higher risk transactions**

**Responsibilities**:
**Provide direct (specialist / professional) equity risk origination services at the customer interface to the specialised equity risk originator**:

- Application of equity risk understanding and skills in appropriate participation in client meetings, screening committees, client service team meetings, valuation forums, approval committees and GOVCO
- Strong understanding of the capital structure and the funding thereof
- An understanding or and experience with syndication of risk exposures
- Appropriate discussion with business of key covenants / cover ratios, CPs and undertakings to be incorporated into term sheet
- Risk appropriate determination of risk grades incorporating funding structures, identification of all risks, cash flows, loss given default and covenants
- Determine credit appetite including (i) appropriateness of proposed structure considering tenor, profile, equity / commodity price and FX volatility, ranking and sector/country appetite, (ii) concentration risk exposure and (iii) single obligor appetite
- Identify and assess all pertinent risk areas together with mitigating factors
- Understand underlying equities financed, price sensitivities, sources of repayment and applicable work-out-scenarios in the event of default
- Provide solutions and innovative lending solutions
- Appropriate management of the specialised credit deal pipeline
- Robust risk assessment of collateral, capital use and risk / return
- Thorough understanding of the underlying industries and state of economy
- Ongoing credit monitoring (existing security, excesses, security cover ratios, collateral management reports, equity prices and markets, changes in sector and creditworthiness of players in that sector)
- Keep abreast of changes and developments in the equity markets
- Identification and documentation of all pertinent risks, as well as mitigants, including risk assessment and view on these as well as appropriateness of funding structure including a working knowledge of legal issues and those pertaining to funding products such as equity, preference shares and subordinated debt.
- Quick turnaround times, but with the necessary push-back and pipeline management so as to provide the necessary time to assess the risk thoroughly
- Accurate and thorough assessment of the market risk involved
- Understand and assess the business risk of the underlying entity in terms of which the equity financing relates
- Appropriate type and extent of stress tests stressing the necessary key issues / risks
- Understanding and an ability to have a discussion on pricing, ROE, capital use, portfolio effect, correlation and syndication
- Liaison with syndications team (where appropriate) to ensure that their input is received timeously and that any distribution requirement determined by Equity Risk is structured and priced so as to be achieved
- Building Risk partnership with relevant stakeholders and communication

**Deal implementation**:

- Accurate and thorough reconciliation of Credit Paper and subsequent client requests to the legal documents and oversight of the legal documents at the time of pay away to ensure that credit specific conditions are as per credit sanction
- Obtaining all necessary approvals for any changes / waivers to the terms/conditions/ covenants approved per the credit paper
- Extensive interaction with credit portfolio monitoring, legal, business and syndications (where sell down is required) in terms of managing the timeline to pay away, ensuring that all necessary documents are signed, conditions precedent met and security to ha
