Duties and Responsibilities Include:
- Serve as the primary point of contact for the board of directors and shareholders on governance matters.
- Organize and attend board and committee meetings, including drafting agendas, taking minutes, and ensuring compliance with legal and regulatory requirements.
- Manage statutory filings and maintain corporate records, ensuring compliance with corporate governance principles and relevant legislation.
- Advise on corporate governance best practices and assist in the development and implementation of governance policies and procedures.
- Support the Head of Legal and Compliance and Senior management on legal and regulatory issues affecting the company.
- Coordinate with external advisors, such as auditors and legal counsel, on corporate governance and compliance matters.
- Handle ad hoc legal and administrative tasks as required by the Legal and Compliance Department.
Requirements:
- Bachelor of Business Administration/LLB or equivalent qualification
- Paralegal certification (advantageous)
- Minimum of 4 years of experience in a company secretarial and corporate governance role, preferably with a listed company
- Experience in supporting a legal team with a high level of integrity in handling confidential documents
- Extensive knowledge on corporate law and regulatory compliance
- Excellent written and verbal communication skills
- Microsoft Office proficient
