Requirements
- Degree in Law (LLB) and CGISA professional qualification
- Minimum of 5 years secretarial experience (post qualification) and at least 4 years as a Company Secretary
- Experience in the Public Sector
Responsibilities
- Develops and maintains the MI secretariat and governance process, policies, and related procedures
- Ensures defined secretariat and governance processes are in line with best practice in the field and meets all legislative and regulatory requirements
- Schedules monthly and special MIC meetings and ensures quorum has confirmed attendance of these meetings
- Ensures venue and relevant technology support systems have been reserved for the MIC meetings
- Ensures compliance with relevant regulatory requirements, standards, codes, and best practice
- Provides governance and company secretarial support to the MIC for matters requiring approval, including reviewing and drafting resolutions taken by the MIC
- Responsible for supporting the governance process relating to the development and implementation of the case management system
- Develops a membership profile and procedure for the recruitment and appointment of members in line with current governance practice
- Develops and regularly reviews the effectiveness of the terms of reference of the relevant committees
- Oversees the implementation and maintenance of the record and document management system for the relevant committees to ensure the safeguarding of documentation of the relevant committees
- Ensures the cooperation with Corporate Legal Services on all matters relating to the disclosure of documentation relevant to the material irregularity process
- Owns and manages relationships with relevant internal and external stakeholders
- Liaises and interacts with key stakeholders & management to share information, resolve challenges, and make recommendations for improvements
- Oversees the financial management relating to the activities of the MIC and ACMI
- Contributes to the development of the business unit’s budget and manage the allocated project expenditure
