**Senior Manager: Group Treasury Governance, Risk & Compliance**

**Key Performance Areas**:
As the custodian of the governance, risk and compliance in the Group Treasury team, the role is responsible for the following key areas:

- Establish, cascade and ensure continuous improvement a sound group treasury governance framework (in alignment with group governance and risk standards) to guide operations, risk management and compliance comprising of, but not limited to:

- Group Treasury policy, mandates and critical operational processes
- Governance protocols, standards, DoA/RAPID and reporting requirements
- Operational risk and control methodologies, frameworks and repositories
- Global compliance framework and inventory
- Establish measures and reporting frameworks to enable monitoring of compliance to Group Treasury governance mandates. This includes institutionalizing monitoring guidelines/mandates/self-review mechanisms to gain adequate assurance over treasury control environment.
- Design and implement Treasury Risk Monitoring, Reporting and Analytics frameworks including key risk definitions, measurement criteria and materiality thresholds. Cascade to respective local treasury teams to enable localization and consistent practice adoption
- Proactively support Group Executive Treasury and Group Finance Leadership with critical reports, dashboards and analytics-based insights (i.e treasury risk analytics, operational risk and control status, treasury risk metrics etc.) to support decision making and assurance over operations.
- Provide governance related guidance to Opco treasury custodians to drive operational control excellence, standardization and adoption of respective treasury governance, risk and compliance requirements
- Maintain and monitor Group-wide top treasury risk profiles to provide support decision making, raise early-warning signals for out-of-thresholds risk exposures and non-compliances. Provide independent management advice and recommendations for effective corrective measures and actions.
- Serve as the single point of contact for Group treasury regulatory compliance reporting, internal and external audits. Coordinate with respective group treasury operational teams to periodically review and ensure operations are in compliance with required regulatory governance. ( _Note: Execution of regulatory or internal controls remains the responsibility of treasury operations teams) _
- Provide appropriate inputs to the Strategic Treasury management strategies to ensure it operates with the desired group treasury risk profile and is achievable with regulatory and statutory remits.
- Coordinate and formulate effective working relationships with Quality Assurance and Internal Audit teams to perform periodic quality and process audits
- Conduct spot check reviews, provide mitigative actions and track key (critical/high risks) treasury risk and control compliances
- Proactively monitor country/region treasury related risks across the MTN footprint and incorporate the same in the risk evaluation to assess the market impact based on the wider economic and geopolitical risks, and vulnerabilities that may affect the telecom sector in particular
- Assess and address treasury fraud risks as part of the risk management frameworks. Monitor and identify risks for designing controls specifically to mitigate the risk of fraud Establish proactive mechanisms, processes and controls to ensure adequate solvency and liquidity levels are maintained for compliance as per regulations and to manage shorter term liquidity
- Monitor financial risk transactions, including foreign exchange risk, and develop risk management programs and strategies. Further ensure timely risk reporting for market and counterparty credit risk exposures. Also, ensure adequate support from 3rd party vendors to provide treasury risk expertise to assist in the overall risk management activities
- Establish mechanisms to proactively monitor credit risk (both to commercial and bank counterparties), market risk and liquidity risk etc. as well as for any regulatory changes that may impact the existing treasury and risk management strategies.
- Define treasury criteria and guardrails for establishing credit limits with the banks to manage bank counterparty risk and continuously monitor credit rating downgrades.
- Liaison with external credit ratings agencies to categorise banks from a risk standpoint, and monitor these ratings proactively to ensure credit quality
- Provide inputs to development and enhancement of the group treasury systems to ensure integration with treasury risk, control and reporting requirements. Cascade to local treasury teams to ensure appropriate local interventions and system controls are established.
