Administrative Governance Specialist

Main ResponsibilitiesThe successful candidate will play a pivotal role in contributing to the company's growth and success. Key duties include:
- Focusing on group structures and ensuring compliance with applicable companies acts.
- Monitoring compliance with shareholders' agreements and Memoranda of Incorporation (MOIs).
- Facilitating the registration of new group companies and deregistration of dormant entities.
- Maintaining an updated database of group entities and relevant documents.
- Preparing and maintaining group organograms and structure charts.
- Keeping accurate records of board and shareholders' resolutions.
- Organizing annual or bi-annual board meetings and shareholders' gatherings, preparing meeting packs, and documenting minutes.
- Ensuring adherence to the King Code and other corporate governance best practices.
- Establishing board sub-committees, arranging periodic meetings, and documenting minutes.
- Liaising with external service providers regarding company document amendments.
- Handling all other company secretarial matters.
To excel in this role, you will need:
- An appropriate degree.
- A legal degree will be advantageous.
Additionally, you should possess:
- 3-5 years of experience in a related field.
- A solid understanding of the Companies Act.

- Excellent problem-solving abilities and the capacity to work independently.
- A proactive approach to anticipating and addressing issues.
- Strong communication skills, both written and verbal, with the ability to engage confidently with teams and stakeholders.
- Proficiency in Microsoft Office Suite, particularly PowerPoint, Excel, and Word.
