Corporate Compliance Officer

Join a leading conservation organization and contribute your expertise as a Corporate Compliance Officer. This role is ideal for individuals with a strong background in law and regulatory compliance.
About the JobIn this position, you will be responsible for ensuring that Singita's business operations are compliant with relevant laws and regulations. You will work closely with management and staff to identify and manage regulatory risks, develop internal controls, and provide an in-house service that supports business areas in their duty to comply with relevant laws and regulations and internal procedures.
Key Responsibilities:- Scheduling Annual General Meetings for the Group entities, Board Meetings, and preparing minutes for each entity in the Group.
- Drafting all required resolutions, getting them signed, and maintaining minute books for each entity in the Group.
- Maintaining Share Registers for all entities in the Group.
- Storing all Entity Shareholder Agreements.
- Maintaining Corporate Documents for all entities in the Group (MOIs) and ensuring they are kept current.
- Scheduling the Group Audit and Risk, Social and Ethics, and RemCom sub-committee meetings, preparing minutes for these, and ensuring Charters are properly drafted and in place and kept updated.
- Registering as Information Officer for the Group.
- Preparing and submitting Annual CIPC returns for each entity in the Group.
- Preparing and submitting new Beneficial Owner Reports for each entity in the Group.
- Keeping signed originals of all legal agreements and key contracts and maintaining a register of all legal agreements and key contracts for material transactions.
- Coordinating risk management and compliance – ensuring risk registers are in place for all required entities and reviewed and updated regularly.
- Maintaining Group Policies Register, keeping group policies up-to-date, and assisting with drafting new policies.
- Maintaining PAIA manuals, POPIA manual, and other required regulatory compliance manuals, and ensuring they are kept current and updated for any regulatory changes.
- Maintaining a Compliance Register of all acts and regulations subject to and ensuring we have required policies and procedures and manuals in place to remain compliant.
- Keeping a watching brief for any new legislation or regulations coming on stream and ensuring necessary actions are taken to comply.
- Registering as Company Secretary for the Group.
- Ensuring all entities are FICA compliant (where applicable).
- Maintaining up-to-date knowledge of legal and regulatory changes affecting trusts in South Africa.
- Actioning changes in shareholding or directorships and lodging appropriate paperwork with CIPC.
- Incorporation of new entities in consultation with external advisors.
- Active participation in and effective communication and support of Singita's conservation message and purpose.
- 5 years corporate experience.
- BA LLB or similar qualification.
- In-depth knowledge of CIPC process and proficiency in workings of the CIPC eServices site.
The estimated salary range for this position is R600,000 - R800,000 per annum, depending on qualifications and experience.
