Strategic Governance Officer

IT Ridge Technologies is a leading technology company that requires a highly skilled and experienced individual to serve as its Company Secretary. The successful candidate will play a critical role in ensuring the effective governance of the company, supporting the Board of Directors, and maintaining compliance with regulatory requirements.
Job SummaryWe are seeking a dynamic and results-driven Company Secretary to join our team. The ideal candidate will have a strong background in corporate governance, excellent communication skills, and the ability to work effectively in a fast-paced environment.
Key Responsibilities:- Support the Board: Provide strategic guidance and advice to the Board of Directors on governance matters, including board composition, committee structure, and meeting management.
- Compliance and Regulatory: Ensure compliance with all relevant laws, regulations, and standards, including filing of statutory documents, annual financial statements, and other required returns.
- Minute Compilation and Management: Compile and maintain accurate and comprehensive minutes of Board and committee meetings, ensuring that all decisions are recorded and implemented.
- Communication and Liaison: Act as a liaison between the company, its stakeholders, and external parties, including regulators, auditors, and other third parties.
- Qualifications: LLB and CIS (Company Secretarial) qualifications are required; being an Admitted Attorney or Advocate of the High Court in South Africa is an added advantage.
- Experience: A minimum of 5 years' experience as a Company Secretary or Assistant Company Secretary, including experience in minute compilation.
- Skills: Strong knowledge of corporate governance principles, practices, and legislation; excellent communication, interpersonal, and organizational skills.
R 750,000 - R 1,000,000 per annum, depending on experience.
