**Company Secretary**

**Introduction**:
Our client a well-established auditing firm is looking for a company secretary that will be responsible for the full company secretarial function - CIPC, Trust Administration and deceased estates and wills

**Duties and responsibilities**

Company Secretarial Services
- Drafting supporting resolutions, minutes, notices, agendas or mandates; preparation of standard forms
- Collation of FICA documentation on behalf of clients
- Perform all administrative functions with regards to companies (or close corporations) as required by law, or CIPC, and in line with instructions, including:

- Name reservations
- Registration of new companies
- Name changes
- Registered address changes
- Auditor/company secretary changes
- Director/Member changes
- De-registration of companies
- Replacement of lost share certificates

Annual Returns and CIPC Compliance Checklists
- Collation of information
- Preparation of return and checklists
- Invoicing
- Follow up on outstanding payments

New client take-on and capturing data on Greatsoft
- Collect new client information as per FICA or internal requirements
- Capture information and supporting documentation on database
- Opening of electronic & hard copy files

Maintenance of databases on Greatsoft
- Update existing client information
- Filing (electronically)
- Manage client files (hard copy & electronic)
- Ensure document safekeeping
- Maintains databases & escalate data quality issues

Trust Administration
- Drafting of Resolutions, amendments, Trust deeds, Auditor confirmations and meeting agenda and minutes
- Client/Master/Trustee/Beneficiary liaising
- Preparation of documentation for trust registrations, amendments and signatures
- Collation of documentation/information
- Attendance to matters with Master's Office
- Registering trusts for income tax with SARS

Wills
- Drafting of Wills, Testamentary Wills, living wills and letters of wishes
- Filing and safe keeping of Wills

**Requirements**:

- 1-3 years’ experience in same or similar role
- Customer focused
- Fully professionally proficient in Afrikaans and English
- Qualification advantageous
