We are funded by some of the best, pre-eminent institutions in the world including Index Ventures, Balderton Capital, RMIH, Credit Suisse, the US DFC, CPPIB and Deutsche Bank.
**What will you do in the role?**
As Corporate Legal Counsel you will be responsible for all legal aspects of the equity-raising activities of Prodigy Finance as well as building the Group’s corporate governance framework.
**What are some of the roles and responsibilities of this role?**
- Managing all equity-raising activities including new capital, amendments to existing capital structure, convertible debt instruments and warrants.
- Supporting the Finance Legal Counsel on executing debt lending transactions including secured corporate debt facilities and debt warehouse facilities with related security and intercreditor issues.
- Updating and maintaining the corporate governance framework of the Group including intercompany loans and servicing agreements, corporate secretarial filings and drafting of board minutes.

- Submitting regulatory filings and notifications in respect of any changes in shareholding or governance as required by the FCA rules in the UK and any such requirements in other relevant global jurisdictions.
- Structuring and managing the Group’s share scheme and capital structure.
- Managing and running the annual renewal of the Group’s insurance programme.
- Drafting and reviewing non-disclosure agreements, disclaimers, risk warnings, funding presentations and other preliminary pre-transaction documentation.
- Working closely with external counsel to maximise their input and involvement within the agreed budget.
- Confident, independent and able to take responsibility for decisions within the capital markets, finance and legal function.
- Quick learner, eager to pick-up new skills and support a growing business with its global governance and controls framework.
- Proactive with plenty of initiative to overcome the challenges that constantly arise in an innovative, growth business.
- Strong team player with the ability to establish a high degree of credibility within a global organisation.
- Resilient, flexible and energetic which will be required to work hard under stressful conditions to deliver against tight deadlines.
- Capability to adapt to changing priorities in line with business and organisational needs.
- Discretion and professionalism.
- An interest in fintech, global financial markets and active following of financial trends and innovation is very helpful.
**Qualifications and experience**
- A lawyer who is qualified in South Africa or England.
- A corporate transactional lawyer with experience in equity-raising transactions and managing group corporate affairs.
- Experience working with and helping scale a global business that operates in multiple jurisdictions across the globe would be helpful.
- Around five years of post-qualification legal experience at a law firm or within the in-house legal team of a company
