SweepSouth is the largest online marketplace on the African continent for ordering and paying for home cleaning services and other home services (other services launching soon). We connect people with experienced, reliable, efficient and insured home service providers in minutes.

We currently operate in South Africa, Kenya, Nigeria and Egypt and are actively exploring expansion into new service areas and new geographies.

We’re looking for an internal Legal Counsel to work within SweepSouth alongside our awesome Management Team. Your role will be to assist with the:

- drafting, reviewing and negotiating of various commercial contracts and agreements, ranging from standard commercial agreements to funding and capital raise agreements;
- managing and mitigating legal risks by designing and implementing company policies and procedures from both a local and international regulatory and governance view, and
- promoting legal, compliance and risk management best practice throughout the company.

You’ll both deal with external law firms (if and when required) in managing legal matters, as well as serve as the legal champion for in-house counsel.

**Responsibilities**:

- Give accurate and timely counsel to management on a variety of legal topics while properly protecting the commercial and legal interests of the business and its stakeholders (including but not limited to capital fundraising, international expansion, labour law, partnerships with third parties, corporate governance, international regulatory requirements, foreign exchange control etc.).
- Collaborate with the necessary internal teams (such as Management, Product, Engineering, Operations and Support) and provide legal input to devise efficient strategies in relation to:

- achieving the overall strategy of the company;
- designing compliant and commercially viable products and/or services;
- providing on-going legal support and advice in relation to the management and deployment of the various SweepSouth platforms; and
- mitigate any potential risks which may arise.
- Assist with any corporate financing (debt or equity based) by providing advice on structure of the financing, drafting and reviewing agreements and if applicable, managing any investment process which occurs (such as managing due diligence proceedings, reviewing investor agreements and implementing and applicable legal obligations arising from the agreements).
- Research and inform management on applicable international laws, company formation, taxes, exchange control regulations, etc. in existing territories and jurisdictions that we are exploring or planning to enter into (alongside local counsel in relevant jurisdiction if needed).
- Draft and solidify agreements, contracts and other legal documents to ensure the company’s full legal rights (including but not limited to Funding Agreements, Shareholder Agreements, MOI’s, T&C’s, etc) and review legal contracts prior to the company entering into any agreements with outside parties.
- Manage shareholder and investor relations and ensure good corporate governance by drafting the necessary board and shareholders resolutions as applicable in terms of the Companies Act and the SweepSouth’s current MOI.
- Managing SweepSouth’s group corporate governance and company secretarial matters in all its jurisdictions and any applicable inter-company agreements and policies.
- Specify internal governance policies and regularly monitor compliance.
- Research and evaluate different risk factors regarding business decisions and operations and assist with risk mitigation.
- Communicate and negotiate with external parties (regulators, external counsel, public and governmental authorities etc.).
- Assist with either end user and platform worker disputes in relation to applicable labour law legislation.
- Deal with complex matters with multiple stakeholders and external parties.
- Provide clarification on legal language or specifications to everyone in the organization.
- Conduct your work with integrity and responsibility.
- Maintain current knowledge of alterations in national and international legislation which may be relevant to the company currently or in future.
- As with all team members, serve as a good example of company culture and values.

Required:

- Proven experience as a legal counsel in a business environment
- Excellent knowledge and understanding of corporate and commercial law and procedures
- Full comprehension of the influences of the external environment of a corporation
- Demonstrated ability to create legal defensive or proactive strategies
- Sound judgement and ability to analyse situations and information logically
- Have a good understanding of the startup context and relevant legal implications
- Outstanding communication skills
