Role Purpose

Drive the development and implementation of best practice compliance, legal and marker conduct strategies, frameworks and practices in collaboration with the risk community across the MMH as well as providing strategic legal opinions, advice and litigation support to MMH.

**Requirements**:

- Relevant Legal degree (B Proc or LLB)
- Masters in Commercial or Insurance Law (LLM) (will be advantageous).
- Admitted attorney or advocate in South Africa.
- 8-10 years’ post admission experience in corporate and commercial law.
- 3 - 5 years Legal or Compliance management experience within Financial Services or Insurance Industry.
- 3 - 5 years leadership experience at a senior or executive level.
- Exposure to and experience on Regulatory and Governance Committees / forums and strong stakeholder management experience.
- Knowledge of legislation that impacts the Financial Services Industry (e.g. Long and Short Term Insurance Acts, Financial Intelligence Centre Act, Financial Advisory and Intermediary Services Act; Regulatory Authority Notices and Directives, etc.)
- Excellent business-writing skills.

Duties & Responsibilities
- Keep abreast of trends, legislation, legal developments and best practices within the legal, compliance and market conduct discipline to optimise service delivery and offering.
- Develop and drive the implementation of a compliance, legal and market conduct strategy and framework in line with business strategic objectives that ensures stakeholders receive optimal legal support.
- Develop and implement a stakeholder engagement program for seamless board, regulator and management engagement.
- Communicate and distil best practice compliance, legal and market conduct concepts into business, ensuring that lessons learned are communicated both within and outside the compliance, legal and market conduct community.
- Engage with stakeholders to analyse compliance, legal and market conduct requirements and provide stakeholders with concise, accurate, timely compliance, legal and market conduct solutions to business problems.
- Identify opportunities to develop new processes and practices to strengthen the quality and consistency of compliance, legal and market conduct opinions.
- Develop and maintain a platform / repository for sharing legal opinions, agreements, and information to support the consistency and quality of these documents / information within the various teams and across the group.
- Proactively monitor the implementation of the compliance, legal and market conduct framework, templates and polices.
- Continuously monitor the environment to proactively identify potential compliance, legal and market conduct risks and notify the relevant stakeholders of risks and potential solutions to mitigate compliance, legal and market conduct risk.
- Develop concise compliance, legal and market conduct risk reports that highlight potential legal risks across the group and present insights at relevant management and governance meetings.
- Review legal documents for technical correctness and ensure that the latest legal developments have been included in the documents.
- Provide support in structuring, negotiating and drafting agreements and documentation in line with business requirements and best practices.
- Provide legal advice and recommend solutions on strategic projects and initiatives.
- Draft and periodically review standard legal documents or templates in collaboration with the legal community.
- Engage with legal service providers to negotiate cost effective service agreements that supports the legal strategy and framework.
- Manage and maintain the preferred supplier list for all legal service providers in line with MMH procurement principles.
- Support in the defence of material legal matters and ensure maximum protection of the groups legal rights.
- Perform pre-litigation work to minimise risks and maximise legal rights working with strategic partners as required.
- Coordinate with legal service providers in order to pursue legal cases for and against the group to protect MMH’s interest.
