This is achieved through proactively managing risks including bribery, corruption and fraud, as well ensuring we have a robust Speak Up programme and are able to respond effectively to concerns.

The Vice President of Integrity and Business Conduct will be responsible for leading this function through developing and implementing robust programmes across the different areas of business integrity and managing internal investigations. Reporting to the Group Senior Vice President, Risk and Governance, this is an influential role with an opportunity to have a real impact on the way we do business and to work alongside colleagues in legal, human resources and operations.

NTT Ltd is a diverse and complex organisation and therefore it is critical that one of the key parts of this role is building a relationship with key business stakeholders to truly understand how the business operates and therefore the Integrity risks to which it is exposed.

**Key roles and responsibilities**:

- ** Leadership**:lead the Integrity function, designing and implementing forward looking compliance solutions that enable efficient business activity and managing a busy team of Integrity professionals.
- ** Trusted advisor to the business **develops relationships with stakeholders across the business, including senior leaders, to provide advice on managing integrity risks, and provides support and guidance on related initiatives.
- **Anti-bribery and corruption**:lead and oversee the design implementation of our anti-bribery and corruption programme, ensuring we have proportionate procedures in place to adhere to relevant legal and regulatory requirements, including the UK Bribery Act (2010) and the Foreign Corrupt Practices Act of 1977 (FCPA).
- **Risk & Control**:Responsible for enabling an enterprise-wide Integrity Risk Assessment to be undertaken, the outcomes of which drive both improvement in the control environment and feed into the Enterprise Risk Management Framework.
- ** Assurance**:builds out the assurance plan (monitoring and testing) that provides leaders of the business comfort that this principal risk is being mitigated effectively.
- ** Counter-fraud**:lead and oversee the design and implementation of our counter fraud programme, including developing our counter-fraud strategy to consider both proactive and reactive fraud management.
- **Speak Up**:overall lead for our Speak Up programme, ensuring an appropriate response is taken in line with regulation.
- ** Investigations**:leads complex investigations into reported Integrity breaches, ensuring that any external reporting requirements are met and that corrective actions are taken as required. Ensures organisational learning is taken from analysis of breaches and remedial actions are implemented.
- ** Ethics**:promotes an ethical culture where NTT’s values are lived in everyday decision making, including using organisational data to help shape our Integrity strategy and role modelling ethical behaviours.
- ** Policies and procedures**:develops and maintains policies and procedures under the remit of the Integrity function as required, including with relation to anti-bribery and corruption, counter-fraud and other related conduct risks.
- ** Training and communications**:equips the business to comply with the NTT Code of Conduct and Integrity policies through ensuring adequate training is in place. Delivers targeted communications campaigns on Integrity topics and in promotion of the Speak Up programme.
- ** Continuous improvement**:maintains up to date knowledge of best practice across Integrity topics through attending external sector and industry forums as required.
- ** Reporting**:Accountable for providing impactful and engaging Integrity reports to the leaders of the business
