**Minimum requirements for the role**:

- Must have a tertiary qualification in the Secretarial or Law disciplines
- A qualification with the Chartered Governance Institute would be preferred
- Minimum 1 year similar experience is essential
- Must have an interest in working with UK registered companies and UK company law.
- Strong verbal and written communication skills, especially in English, with the ability to articulate clearly and concisely with clients, colleagues and third parties in an open, approachable and professional manner will be required for this role
- Previous experience in taking minutes is desirable
- Must be IT literate and have attention to detail, with a high level of accuracy

- Maintaining statutory records for clients using Diligent Entities Management system.
- Producing accurate written resolutions and minutes.
- Providing Board support and minuting for clients.
- Managing the calendar of Board meetings, submitting diary invitations and arranging conference calls.
- Preparing agendas and requesting, collating and circulating Board meeting packs.
- Preparing and circulating minutes and action points summary.
- Tracking progress on action points.
- Maintaining the Compliance Diary for all client statutory filings and ensuring that deadlines are met.
- Undertaking company formations and producing Company Information Packs.
- Assisting with the preparation of legal documents and agreements, including Articles of Association, Shareholder Agreements, Directors Service Contracts/Employment Contracts, Share Option Scheme documentation.
- Maintaining and updating company secretarial department records.
- Ensuring the continual confidentiality of sensitive data.
- Maintaining timesheet records on the companys time and billing software, allocating time and expenses recharges as appropriate to clients.
