The main purpose of this position is to fulfil the role of Secretary of the Bank for the South African Reserve Bank (SARB) and Group Company Secretary for the SARB and its subsidiaries (SARB Group). The main responsibilities include leading the SARB Group Secretariat (SGS) and ensuring that the statutory requirements for the role are fulfilled, as stipulated in the South African Reserve Bank Act 90 of 1989, as amended (SARB Act) and its Regulations as well as the Companies Act 71 of 2008 (Companies Act) and its Regulations, as may be relevant for the SARB Group. Detailed Description Develop functional plans aligned to operational requirements, oversee the day-to-day operations, and clarify the performance expectations for the SGS. - Ensure that the minutes of all shareholders’ meetings, SARB Board of Directors (Board) meetings and the meetings of any Board committees, as well as the minutes of all meetings of the Governors’ Executive Committee (GEC) and Management Committee (Manco) (and their respective subcommittees), are properly recorded in accordance with the SARB Act and best practice. - Provide the directors of the Board, collectively and individually, with guidance on their duties, responsibilities and powers, and make them aware of any laws relevant to or affecting the SARB. - Identify and facilitate appropriate training and development opportunities for the directors of the Board. - Report to the Board any failure on the part of the SARB or a director to comply with the Directors’ Code of Conduct, the SARB Act and/or the Companies Act. - Certify, in the SARB’s annual financial statements, whether the entity has filed the required returns and notices in terms of the SARB Act and its Regulations, and whether all such returns and notices appear to be true, correct and up to date. - Ensure that a copy of the SARB Group’s annual financial statements is sent, in accordance with the SARB Act and the Companies Act, to any stakeholder who is entitled to it. - Coordinate the editing and publishing of the SARB’s Annual Report, and attend to all the preparations necessary for the annual Ordinary General Meeting (AGM). - Ensure that the provisions of the SARB Act and its Regulations are applied in all due processes, including the AGM as well as the nomination and election process for shareholder-elected non-executive directors, and that all the statutory requirements have been met. - Ensure that the SARB Group subsidiaries are provided with secretariat support, and that full compliance with the Companies Act, memorandums of articles, terms of reference, policies and delegations of authority is implemented. - Take responsibility for the budget of the SGS and ensure the accurate payment of the non-executive directors of the Board. - Manage the performance and development of the SGS team members. Job Requirements the minimum of an Honours degree in Law, Commerce, Business or Management, or an equivalent NQF 8 qualification; - the minimum of 10-12 years of job-related experience; - the ability to work longer and sometimes irregular hours; and - experience in serving more than one senior person concurrently. Additional requirements include: - industry, organisational and business awareness, knowledge and skill; - quality assurance and attention to detail; - knowledge of the SARB Act and its Regulations as well as the policies and procedures in terms of the Constitution of the Republic of South Africa Act 108 of 1996; - knowledge of the Companies Act; - people management skills; - a service and stakeholder focus; - effective communication skills; - building and maintaining relationships; - judgement and decision-making skills; and - resilience.
