Job Description

The incumbent would be responsible for managing all corporate legal, commercial and compliance functions. Key areas of responsibility include ensuring governance and legislation frameworks are met in accordance with the Companies Act & King IV.

  • Responsibilities:
  • Board and Stakeholder Engagement: Develop effective relationships with key stakeholders to ensure smooth communication and collaboration.
  • Support to the Group Directors and Executive Directors: Provide expert guidance and assistance on corporate governance matters.
  • Assistance with corporate governance: Collaborate with the board and management to ensure adherence to regulatory requirements.
  • Director induction: Coordinate the onboarding process for new directors, ensuring they have the necessary information and support.
  • Shareholder queries: Respond to shareholder inquiries in a timely and professional manner.
  • Liaise with Sponsors, JSE and transfer secretaries: Maintain relationships with relevant parties to facilitate efficient processes.
  • Board meeting planning and logistics: Organize meetings, manage agendas and ensure accurate minutes are kept.
  • Preparation of board packs: Compile and circulate meeting materials in a timely manner.
  • Statutory registers and records: Maintain accurate and up-to-date records as required by law.
  • CIPC compliance checklist submissions: Submit necessary documents to CIPC as required.
  • Keeping abreast of statutory obligations and updates: Stay informed about relevant laws and regulations affecting the company.
  • Johannesburg Stock Exchange (JSE) listing requirements and King IV: Ensure compliance with JSE listing requirements and King IV guidelines.
  • Legal opinions: Obtain expert advice on legal matters related to the company secretariat.
  • Drafting annual reports: Prepare the Governance Report and King IV report.
  • Annual returns submission: Timeously submit annual returns for each company within the group.
  • Decision-making framework: Develop, update and implement the decision-making framework.

Requirements:

  • Relevant tertiary qualification (LLB): Possess a degree in law or equivalent.
  • Expert knowledge of governance and legislation frameworks: Have extensive experience in corporate governance and legislation.
  • Meticulous attention to detail: Demonstrate strong organizational skills and attention to detail.
  • Good communication and administrative skills: Possess excellent communication and administrative skills.
  • Previous experience in a corporate environment: Show a proven track record of working in a corporate setting.

Salary Estimate: $120,000 - $150,000 per annum, depending on location and experience.
