About the Role

We are seeking a Senior Counselor to join our team at Mia Nel Associates. As an In-House Counsel, you will support legal and strategic operations, focusing on acquisition finance and mergers and acquisitions (M&A). You will be responsible for drafting, reviewing, and negotiating complex commercial agreements, as well as providing legal input and solutions for structuring M&A transactions and acquisition financing.

Your expertise in managing regulatory compliance, mitigating risk, and facilitating the execution of complex transactions will be essential in this role. You will also oversee and coordinate due diligence processes, identifying legal risks and advising on mitigation strategies. Additionally, you will monitor and interpret relevant laws and regulations across jurisdictions where the company operates, ensuring compliance at all stages of transactions.

  • Draft, review, and assist negotiating complex commercial agreements, including acquisition and financing documents, joint venture agreements, and shareholder agreements.
  • Provide legal input and solutions for structuring M&A transactions and acquisition financing.
  • Manage legal aspects of financial closings, ensuring compliance with timelines and deliverables.
  • Oversee and coordinate due diligence processes, identifying legal risks and advising on mitigation strategies.
  • Monitor and interpret relevant laws and regulations across jurisdictions where the company operates, ensuring compliance at all stages of transactions.
