Job Title: Corporate Lawyer for Mergers and Acquisitions

We are seeking a highly skilled Corporate Lawyer to join our team as a Corporate Lawyer for Mergers and Acquisitions. The successful candidate will provide legal advice and support to our business units on a wide range of legal issues related to mergers and acquisitions, corporate governance, and compliance.

Key Responsibilities:

  • Provide legal advice and support to business units on mergers and acquisitions, corporate governance, and compliance.
  • Draft, review, and negotiate contracts, agreements, and legal documents related to mergers and acquisitions.
  • Conduct legal research and analysis on complex issues affecting our business activities.
  • Advise senior management and business units on legal implications of business strategies, transactions, and initiatives.
  • Manage and oversee litigation matters, including liaising with external counsel and representing the company in legal proceedings when necessary.
  • Develop and implement legal policies, procedures, and guidelines to ensure consistency and best practices within the company.
  • Monitor legislative and regulatory developments in Southern Africa and other relevant jurisdictions, advising on potential impacts and ensuring proactive compliance.
  • Collaborate with internal stakeholders, including executives, department heads, and operational teams, to address legal issues and support business objectives.

Requirements:

  • Minimum of 10 years of experience specializing in Mergers and Acquisitions (M&A), preferably within a diverse corporate environment.
  • Bachelor of Laws (LLB) or Bachelor of Commerce in Law (B.Com Law) from a recognized institution; additional certifications or coursework in M&A, corporate law, or commercial contracts are advantageous.
  • Proven track record of successfully handling complex M&A transactions, including due diligence, negotiations, and post-merger integration.
  • Strong drafting skills with the ability to prepare and review a wide range of commercial agreements, ensuring clarity, accuracy, and compliance with legal standards.
  • Extensive knowledge and practical application of Companies Act regulations and corporate governance principles.
  • Ability to work effectively under pressure, manage multiple priorities, and meet deadlines in a dynamic business environment.
  • Strong interpersonal and communication skills, with the ability to interact confidently and effectively with senior management, stakeholders, and external parties.
  • Proactive approach to legal issues, with a strategic mindset and the ability to provide sound legal advice and guidance on complex matters related to M&A and corporate governance.
