Job Title: Corporate Legal Specialist

Job Summary: We are seeking a highly skilled Corporate Legal Specialist to join our team at AGC Recruitment Pty Ltd. The successful candidate will provide expert legal advice and support to our clients in the insurance industry.

Key Responsibilities:

  • Maintain and enhance the legal strategy to ensure the company receives sound and professional legal advice and opinions.
  • Manage the legal annual performance plan and operational plan for the Legal Department.
  • Provide legal resource and point of reference on legal and insurance claims matters, as well as render formal and informal legal opinions on various legal matters and provide legal comments on various documents.
  • Draft and vet legal documents and agreements, ensuring that legal risks are identified and mitigated in all transactions the company enters into.
  • Maintain the company's agreement management system and processes.
  • Assist in the day-to-day management of litigation for and on behalf of the company.
  • Consult and instruct external legal advisors on legal matters and opinions on claims within claims managers mandate and in consultation with the claims manager, head of department or the CEO including managing the costs thereof.
  • Keep abreast with legislative requirements applicable to the business and keep the CRO and the CEO updated on any new developments. Maintain the legislative universe.
  • Chair Claims Meetings focused on large losses and litigation matters.
  • Provide regular reports to the Executive Committee and the Board on various litigation matters and activities related to agreements and governance matters.
  • Manage employment agreements and advise on labour law.

Company Secretary Responsibilities:

  • Support the Office of the CEO and the Chairperson of the Board with the Company Secretary Services and any other meetings, as and when required.
  • Maintain and enhance a Company Secretariat Framework which guides the preparation for, managing and recording of meetings.
  • Maintain and enhance Corporate Governance Framework to ensure compliance to King IV Reports and other applicable corporate governance practices.
  • Implement the Annual Board Plan and Calendar.
  • Monitor and highlight legislative requirements applicable to the Company to the Board following consultation with the CRO.
  • Certify in the annual financial statements that the company has complied with all the requirements of the Companies Act and relevant Financial Sector legislation.
  • Distribute Annual Financial Statements, including regulatory submission to relevant Regulatory bodies.
  • Report any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the Companies Act.
  • Ensure that the minutes of all Board and Shareholders meetings are properly recorded and circulated.
  • Ensure that charters and terms of reference are kept up to date & report to Head of Compliance on these matters as part of the annual Governance & Compliance document review process.
  • Distribute the annual evaluation of the Board, its directors and Senior management.
  • Maintain the company register and deal with ad hoc CIPC transactions.

Requirements:

  • Minimum of 5 years' experience in legal advisory and company secretarial roles within the insurance or financial services industry.
  • Bachelor's degree in Law (LLB) from a recognized institution; additional qualifications such as an LLM or specialized courses in insurance law or corporate governance are advantageous.
  • Proven track record in providing legal advice on insurance claims, contracts, and regulatory compliance.
  • Experience in managing litigation processes and engaging with external legal counsel effectively.
  • Strong understanding of corporate governance principles, including compliance with King IV and Companies Act requirements.
  • Ability to manage board and shareholders' meetings, including preparation of agendas, minutes, and resolutions.
  • Excellent drafting skills with the ability to review and negotiate complex legal agreements.
  • Thorough knowledge of maintaining statutory registers, ensuring regulatory filings are completed accurately and on time.
  • Ability to interpret and apply legislative requirements relevant to the insurance sector.
  • Exceptional communication skills with the ability to influence and advise senior management and board members.
  • Membership in a recognized professional body (e.g., Bar Association, ICSA) is preferred.
