A Global Law firm situated in Melrose Sandton is seeking a Corporate Commercial Associate to join their corporate commercial team. They provide a variety of services across different practice areas. Their clients include local, national and international companies across a broad range of business sectors. These range from emerging businesses to multinationals, listed and unlisted companies.

**Key Deliveries**

**Duties and Responsibilities**
- Effectively able to negotiate, draft and comment on various commercial documentation and agreements, including but not limited to: sale of shares agreements, sale of business agreements, share buyback agreements, shareholders agreements, MOIs, subscription agreements, lease agreements (retail, commercial and residential), loan agreements, cession agreements, suretyship agreements, pledge agreements, sale of property agreements, assignment agreements, confidentiality and restraint agreements, distribution agreements, manufacturing agreements, service agreements, license agreements, information technology agreements and agency agreements, board resolutions, implementation agreements, Industry specific agreements and regulatory notifications.
- Able to provide succinct legal advice and opinions.
- Knowledgeable on mergers and acquisitions from a commercial context and drafting perspective.
- Ability to conduct effective due diligence and risk assessments.
- Knowledge and understanding of BEE requirements.
- Liaising with and assisting clients in matters/transactions.
- Servicing existing and new clients’ commercial legal requirements with emphasis on some of the following areas of expertise
- Advice and/or assistance to both local and international clients regarding general corporate/commercial issues;
- Negotiating, commenting and drafting of various commercial agreements (as detailed above) in the following fields of commercial/corporate law- Information technology;
- Black Economic Empowerment;
- Banking;
- Trade, finance and security;
- Corporate governance;
- Property;
- Restructuring;
- Private Equity;
- License, distribution and agency;
- Asset leasing.
- General advice on corporate governance issues.
- General legal research and legal opinion drafting.
- Consulting with clients to accurately ascertain instruction and details of transactions and ability to translate client needs into legally sound structures and deliverables.
- Conducting effective research using legislation, case law, and other legal texts as sources
- Maintaining accurate timesheets and billable hours.
- Building good client relationships.

**Qualifications** **and** **Experience**
- (B.A or BCom with their LLB) or LLB Degree is a requirement. Master’s degree is beneficial.
- Admitted as an attorney of the High Court
- Minimum of 2+ years PQE experience in M&A/commercial/corporate.
