**Legal Counsel: High Speed Packaging Industry: Stellenbosch**

Applications are invited for the above-mentioned position in the **Legal Department **based in Stellenbosch. The successful applicant will report to the **Director: Legal.**

**Purpose of the position**:
To ensure that the company always operates within the law, offer counsel on legal issues, be a strategic partner for the organization and drive responsible business conduct.

**Key performance areas would include, but are not limited to**:
Legal Advisory
- Provide expert and strategic legal advice to management. Set internal governance policies and manage the impact of external factors. Create associations of trust and respect with key stakeholders. Deal with external parties (regulators, external counsel, politicians, and clients). Draft agreements that minimize risks and maximize legal rights. Keep abreast of legislative changes. Handle all potentially litigious matters and ensures where possible that recourse to courts is a last resort. In that regard, write letters of demand where appropriate and reply adequately to letters of threat from law firms and others.Intellectual Property
- Manage and protect the company’s intellectual property, such as trademarks, logos, brands.
- Advise on activities of competitors and all other parties involved in the business of passing off company products or infringing on company’s intellectual property.
- Conduct on behalf of the company searches at the trademarks Registry to ensure the availability of new trademarks, which the company intends to register.
- Manage the registration of new trademarks, patents and designs and their renewals on behalf of the company.

**Case Management**
- Deal with all issues of products complaints received from consumers, appropriately to such complaints.
- Maintains and regularly updates a record of all cases involving the company.
- Ensures that competent external lawyers are appointed to represent the company in litigation matters.
- Assist external lawyers in researching and preparing the company’s cases either as plaintiffs or defendants and vets all papers/documents to be filed by the lawyers on behalf of the company.
- Engage with the company’s external contacts, other lawyers, other persons, and government officials with a view to resolving legal and general corporate and regulatory matters.
- **Anti-Bribery Compliance**
- Report to Board and social and ethics committee. Ensure compliance with policies: Code of Conduct, Conflict of Interest, Anti-Bribery, Gifts and Entertainment and Ethics and Whistleblowing. Facilitating the roll out of same to all staff members through internal communication and training. Communicate anti-bribery policy to key stakeholders. Implement and optimise all policies and procedures to meet the business needs.

**Ad-hoc Legal matters**
- Assist the Africa team on various legal matters. Ensure statutory compliance of foreign subsidiaries with proper record keeping. Assist with legal and company secretarial matters of the company. Manage and co-ordinate ad-hoc legal projects. Dealing with the various regulatory bodies on behalf of the Company, and filing the statutory periodic returns with such bodies - Handles environmental issues on behalf of the company. - Deal with legal issues generally arising from the company’s operations vis-à-vis its relationship with customers, suppliers, competitors, various governments, and the public. Approval of wine labels in accordance with the Liquor Products Act and Regulations.
- Draft and advise on commercial, financial, property and general agreements on behalf of the company.
- Bachelor’s degree in law (LLB)
- Desired: completed articles at a law firm.
- Over 5 years of experience in the legal field.
