**Key Responsibilities**:

- Providing general advice to the Project Companies on all legal matters as they arise;
- Advising on general business legal issues as well as managing all legal issues for all areas of the

business, including but not limited to corporate matters, HR matters, procurement, HSE, insurance and SED/ESD matters;- Providing specific advice with respect to the project documents and finance documents entered into by the Project Companies;
- Assisting the Project Companies in the preparation, negotiation, finalization and execution of contracts or amendments to existing contracts.
- Assisting the Project Companies in the management of contractual claims (analysis of the claim, preparation and finalization of response, contact with the relevant authorities and finalization of agreements / settlements of any claim);
- Assisting the Project Companies in their relationship with their lenders and facility agents (assisting in settling conditions subsequent, preparation, finalization and signature of any waiver request, legal opinion, etc. required under the Client’s finance agreements, amendments of finance agreements etc.);
- Assist the Project Companies in their relationships with key subcontractors (O&M, EPC, Fuel Supplier, Fuel Transporter, etc.) (assisting in dispute resolution, negotiations, preparation for litigation/arbitration etc.)
- Providing advice in relation to all aspects of corporate governance to the Project Companies;
- Providing general advice to the Project Companies in relation to commercial matters;
- Providing general advice to the Project Companies in relation to permitting, land and environmental matters;
- Providing general advice to the Project Companies in relation to socio economic development, skills development and / or any BBBEE related matters;
- Providing general advice to and assisting the Project Companies in relation to dispute resolution matters;
- Assisting the Project Companies with respect to the holding of board and shareholders meetings and drafting of minutes and resolutions related thereto;
- Keep Management and/or the board informed of changes (including new) to any legislation affecting the business and advise on compliance where necessary.
- At the request of the Project Company’s CEO, present matters of legal concern to the board of directors;
- Monitoring trends in the regulation of the energy sector, in construction law and agreements related to the development of independent power projects;
- Contributing to the development and improvement of internal procedures for the conduct of the Project Companies’ activities;
- Contributing to the implementation and use of the document management system;
- Develop templates for standard NDAs, SLA’s and contracts to enhance efficiency.
- Ensuring compliance with policies and procedures issued by the Project Companies and/or ENGIE, monitoring and reporting on non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the ENGIE Group; reporting of ethical issues, if any, as they arise; encouraging a culture of compliance with laws and integrity in the Project Companies;
- Assisting the Project Companies with the selection, appointment and management of external legal advisors;
- Controlling the use, quality and cost of external legal advisors;
- Provide general support to the CEOs in the management of key contracts; and
- Undertaking other duties as may be requested by the Project Companies and/or the General Counsel.
