Our client, one of the biggest banks in South Africa based in Johannesburg who is a firm believer in technical innovation and leading-edge financial solutions is urgently looking for Head: Legal, Insurance & Investments to provide specialist, relevant and quality legal advice and services to all areas of the Insurance and Investments business (Business) and where required, business units within consumer and high net worth clients and the client solutions businesses, as well as legal entity boards, and various internal governance committees as required from time to time.

Identify long term risk exposure to support the various business efforts in managing potential risk and maximising revenue streams by interpreting and evaluating legal information including the drafting of related commercial contracts and set legal risk appetite, within the bank and legal entity parameters.

Provide ad hoc guidance (where necessary) to the Africa Affiliates regarding transactions within and outside of the business as required from time to time.

**NOTE: This is a hybrid working model position and vaccination against COVID is now mandatory**

**In order to be considered the following is required**:

- Post Graduate Degree - LLB
- Admitted attorney
- Relevant professional membership
- 15 years of experience in legal - proven experience in setting the direction and precedent for engagement in legal matters, setting risk mitigation strategies at an organisational level
- At least 10 years' experience in the legal / financial and/or corporate / commercial sectors at a senior management level
- Africa Region travel may be required
- Domestic / local travel may be required
- The ability to manage contractual obligations in order to deliver the objectives required in the contract
- Applies knowledge and understanding of the role and functions of corporate legal services within the context of the local legislative and industry regulatory framework
- Demonstrates skills and abilities needed to effectively develop and present the organisation's interests in matters of dispute
- Insight into and understanding of the various laws and regulations regulating the financial services industry
- The capacity to communicate ideas and facts of a legal nature in writing using appropriate grammar, syntax, sentence and document structure in the legal profession
- Able to comply with relevant legislation, regulatory and professional standards
- Knowledge of applicable legislation and the legal policies and procedures pertaining to the local, regional and relevant international laws
- The ability to review case law and statutory provisions to determine the most appropriate response from the organisation

**Responsibilities**:
**Risk, Regulatory, Prudential & Compliance**:

- Drive the alignment of legal decisions to those taken at a level so that consistencies may be leveraged and legal standards may be applied
- Identify, investigate and resolve complex and ambiguous risk, potentially outside of precedent, to provide timely solutions that strategically eliminate or mitigate risks
- Attend and participate in appropriate governance committees to ensure that any legal requirements are appropriately considered and legal risks are addressed
- Optimise processes, procedures and systems through benchmarking to local and international best practices, reviews and evaluation. Implement improvements for the team within the area of expertise on an ongoing basis
- Consult with stakeholders to understand business requirements and provide expert insight and guidance pertaining to the drafting, vetting, review, dissemination and/or negotiation of legal documentation and processes of a highly complex and ambiguous nature, and provide clear and accurate legal opinions based on sound judgment
- Contribute to the development of group legal risk management policies
- Provide legal oversight in relation to strategic business transactions and serve on appropriate governance forums for the approval of transactions
- Assume full accountability and decision making for legal within the business, as well as certain business units within consumer & high net worth clients and the client solutions businesses
- Maximise sustainable revenue streams through the origination and implementation of profitable transactions in the area of specialisation
- Gain and maintain an in-depth understanding of the organisation and how transactions will fit in within the ordinary scope and course of business in general
- Maintain oversight of all legal transactions for the area of specialisation, especially those with greater risk and cost exposure so that specialist knowledge may be delivered to the most complex cases
