A vacancy exists at Nashua (Pty) Ltd for a Financial Analyst, reporting to the Chief Financial Officer.

**JOB PURPOSE**

Responsible for co-ordinating all aspects of franchise shareholding and related franchise agreement transactions in order to ensure that all commercial, legal, tax and accounting implications are managed appropriately and effectively and that the capital structures of the franchises are appropriate. The role includes structuring of shareholder transactions and valuations of businesses.

**QUALIFICATIONS AND EXPERIENCE**
- Minimum 3 - 5 years’ experience in a Corporate Finance or Financial Analyst role, CIMA, CFA, or similar qualification preferred
- Experience in mergers and acquisitions and financial modelling
- Excellent Excel skills

**DUTIES AND RESPONSIBILITIES**

**Franchise Valuations and transactions**
- Review proposals from franchises for franchise ownership transactions
- Scrutinise the transactions to ensure these are in accordance with laws and regulations as well as the franchise agreement
- Perform and review valuations of franchises
- Determine the accounting and tax implications of equity transactions with and between franchises
- Manage end to end process including corporate governance process of evaluating new franchise owners
- Evaluate franchise investment strategy to determine optimal strategy
- Evaluate capital structures of franchises to ensure structures are optimal
- Obtain annual financial statements from franchises and evaluate financial status of franchises

**Franchise agreements**
- Understanding of all franchise agreements to ensure compliance
- Understanding of all shareholder agreements to ensure compliance
- Ensure franchises meet contractual obligations in terms of the franchise agreement and shareholders agreements
- Manage annual franchise compliance declarations process
- Manage franchise agreement renewal process
- Manage all processes relating to clauses in the franchise agreement that require Nashua approval

**Strategy**
- Analyse data in order to identify opportunities for strategic transactions (corporate activity)
- Strategic planning and financial analysis
- Project manage strategic transactions in conjunction with Exco and Group M&A team

**Reporting**
- Compile monthly commercial reports for presentation to Exco

**OTHER ASSIGNMENTS**

To perform any assignments as and when requested to do so by the CFO and any other Executive Officer of Nashua (Pty) Ltd.
