**Job Advert Summary**:
**PURPOSE**:

- Establish and maintain a robust governance and policy framework that promotes transparency, accountability, and sustainable growth for Exxaro’s businesses and operations.
- Develop, implement, and maintain Group governance framework.
- Drive effective governance practices to lay the foundation for the fulfilment of Exxaro's purpose in an ethical, effective, and responsible manner.
- Drive strategic governance reporting, monitor governance trends, and provide guidance to ensure the Company operates in a responsible and sustainable manner.
- Provide training and guidance to employees on governance matters.
- Coordinate United Nations Global Compact (UNGC) disclosure and compliance.

**MAJOR CHALLENGES**:

- Reduce contradictory frameworks and duplicate areas from multiple frameworks and harness synergies within the Group.
- Liaising with cross-functional departments to ensure consistency with policy template and governance requirements.
- Developing and implementing governance policies and procedures to guide the company’s operations.
- Coordinate UNGC disclosure, compliance, and reporting.
- Adapting and responding to a rapidly changing environment.

**Minimum Requirements**:
**QUALIFICATIONS**:

- B Degree (Hons) (Relevant) (Essential/Minimum)
- Management Development Programme (Essential/Minimum)

**EXPERIENCE**:
6-8 years Intimate knowledge of good corporate governance, law, policy development or administration preferable in the mining industry plus relevant experience in implementing corporate policy and governance imperatives. Strong business acumen, planning, organising and integration skills, with proven ability to manage multiple projects and prioritise tasks effectively. Ability to work independently and in a team environment. Highly effective engagement and communication skills. (Essential/Minimum) Management

**Duties & Responsibilities**:
**Best Practice and Knowledge Management**
- Providing insight and understanding of the key components of governance in the South African mining industry.
- Monitor and evaluate quality and effectiveness of implementation of plans to enhance governance within the company.
- Maintain extensive internal and external professional networks both locally and abroad.
- Provide best practice solutions for regulatory and civil society. pressures emerging in respect of good corporate citizenship.
- Participate in the Group strategic development and review processes, providing inputs into the strategy and develop governance reporting procedures and toolkits inclusive of business inputs.
- Keep abreast of best practice trends and ensure sharing of relevant governance reporting practices and knowledge throughout company.
- Maintaining accurate records and documentation related to governance and compliance activities.

**Governance**
- Facilitate collection, organising and maintaining data to support reporting and decision-making processes.
- Provide training and awareness on governance requirements.
- Governance Monitoring: Ensure adherence to governance, policies, standards, statutory and legal compliance.
- Recommend improvements to governance processes appropriate for transparent reporting and disclosure.
- Provide leadership and guidance to the governing body and executive management by regularly reporting on governance matters.
- Coordinate and assisting with internal and external audits.
- Submission and quality assurance of governance reports to the Executive committee and other Board committees.
- Responsible for periodic updating and implementation of the Governance Framework and related policies to ensure best practice and alignment with relevant legislation.

**People Management**
- Communication/engagement: Encourage open expression of ideas/opinions and foster dialogue. Seek out different opinions. Inform people of decisions, changes, and other relevant information. Proactively address conflicts, initiate difficult conversations.
- Performance management: Adhere to performance management procedures
- Culture/functional climate: Uphold the culture and values within the function. Foster effective teamwork and unity.

**Policy Management**
- Develop and implement policy templates, frameworks, and procedures to guide the organisation.
- Recommending and implementing improvements to governance and reporting processes.
- Align and partner with the Information Management function to manage the reliability of enabling technology.
- Coordinate and assisting with internal and external audits.

**Risk Management**
- Ensure potential risks to the Company’s reputation/brand, values and strategic objectives are identified and adequately managed.
- Identify potential risks to the Company’s governance structure and develop strategies for mitigating those risks.
