**Education & Skills**:

- Law Degree or postgraduate Degree - LLB
- Admitted Attorney
- Membership of a Professional Body (Law Society of SA)
- A minimum of 3-5 years’ post-articles legal experience in a corporate / commercial / operational legal environment
- General commercial knowledge and experience
- Corporate Commercial experience is essential
- Experience in independently drafting and vetting legal agreements is essential
- General business industry experience (FMCG and/or pharmaceutical industry knowledge including regulatory experience is an advantage)
- Experience in Corporate Governance with a focus on King IV
- Exposure in drafting and negotiating international legal agreements

**Responsibilities**:
The Legal Advisor supports the Group Legal team in the day-to-day corporate legal, compliance and risk management work by responsibly and proactively facilitating the business of the Avacare Health Group through competently servicing the legal, corporate, commercial, intellectual property (IPR), litigation and other legal, compliance and risk requirements of the Group and complying with legal strategy.
- Provides legal assistance to the Mergers, Acquisition and Investments team
- Prepares all funding transaction agreements and all associated supporting documents
- Assists in the conclusion and execution of the transaction
- Researches and acts on the legal implications of legislation and case law that could impact the Group’s operations
- Identifies the risk profile of the Group’s operations with regards to exposure in, inter alia commercial agreements and offers solutions
- Updates the Legal team with legislative amendments and new additions; makes recommendations to the implementation of any necessary changes
- Reviews the rights of the Group in relation to trademarks, copyright and patents
- Advises on risks associated with intellectual property
- Assists with the management and protection of the Group’s intellectual property
- Is responsible for drafting and vetting of a wide range of corporate or commercial agreements and appendices; plus managing the active agreements of the group
- Prepares summaries of transactions, with legal and operational items for post-closing implementation by business
- Manages the execution process of agreements through to filing in the Group contracts repository
- Manage the contract signature process and ensures that all fully signed agreements are sent to the Legal team
- Ensures the controlled safekeeping of all signed original agreements, hard and soft copy, in an orderly and efficiently retrievable manner
- Manages the renewal and termination of agreements and documents; and ensures adherence to the agreement repository obligations
- Prepares and submits weekly / daily legal reports indicating activities performed and manages targets against these
- Prepares monthly management reports on the activities of the team, in addition to litigation reports and regulatory reports
- Prepares legislative compliance manuals and checklists
- Keeps up to date with legislation by examining changes, industry trends, and raises awareness of these changes in the various jurisdictions
