A key position has become available for a Legal Counsel who will be working alongside our Senior Legal Counsel. This role is responsible for supporting all our commercial legal matters globally. Your commercial and industry expertise will directly affect the profitability, growth, and effectiveness of the company during a period of rapid growth.

**THE ROLE**

As Legal Counsel you will be a key enabler of Entersekt's growth strategy while ensuring the legal integrity of our products and services. You will support a wide variety of teams and functions across Entersekt's global footprint. The role involves supporting commercial agreements, ad hoc business projects and advising the business on various commercial and compliance matters.

The main focus of the role will be to review, amend, draft and negotiate a range of commercial contracts with our customers, partners, distributors and key suppliers, but will also require a willingness to assist the business and key stakeholders with practical advice on legal, regulatory, corporate governance and compliance issues that may arise.

**RESPONSIBILITIES**
- Support sales and partnership teams during commercial contract negotiations, being responsible for contract reviews, negotiation, mark-up, and feedback for all customer, partner, and vendors engagements.
- Draft, negotiate and review complex agreements that minimise Entersekt's legal risks and maximize our legal rights.
- Support the implementation and updating of internal legal policies and standard documentation, such as master services agreements, service level agreements, referral, teaming, reseller and OEM agreements, non-disclosure agreements, and more.
- Assist in the coordination of company secretarial and corporate governance matters.
- Provide support to the company's business by providing local advice in respect of global deals, strategy and product and proposition rollouts. Deal with external and local counsel on ad hoc basis.
- Partner with all key business areas, including the Information Security, Operations and Product teams, to ensure compliance (including data privacy) is always front of mind, especially at the outset of new projects, products and initiatives.
- Proactively anticipate legal issues and risks and inform and advise the global business on changes in relevant laws (including POPIA, GDPR and others).
- Provide support to the Senior Legal Counsel with day-to-day legal matters as required.

**SKILLS & EXPERIENCE**
- LLB (BCom LLB preferred), admitted attorney (South Africa or another common law jurisdiction) plus at least five years of relevant experience within a commercial or corporate law department in a reputable law firm; alternatively, five years' experience in an in-house legal counsel.
- Strong working knowledge of contract law, intellectual property law, corporate law, data protection law, and technology law.
- Experience in leading commercial negotiations and drafting and reviewing a wide range of commercial agreements, including those covering software licensing, software-as-a-service, cloud services, master services, distribution, resellers, revenue sharing, marketing, software development, service levels, and confidentiality.
- Company secretarial experience will be beneficial.
- Transactional and deal experience will be beneficial.
- Financial regulatory experience and a working knowledge of the payments regulatory landscape as well as Payment Card Industry Data Security Standards and card scheme standards will be beneficial.
- Knowledge and experience of compliance-related matters will be beneficial.
- Ability to execute responsibilities in a high-volume, deadline-oriented environment.
- Ability to outsource effectively and manage external legal counsel, globally.
- Exposure to cross-border transactions and experience advising clients with a global footprint; awareness of and respect for different business cultures.
