**_ Position Purpose:_**
- To establish ethics rules and procedures and influence ethics governance processes and interventions companywide.
- To manage the provision of administrative, governance function to Group Company Secretariat and ethics related advice to

ODs.
- To manage the Ethics Forum.

**_Position outputs:_**
- Planning, organising, directing, and controlling ethics management activities
- Develop, maintain, and manage the ethics related policies, framework, procedures and other instruments of control
- Develop and manage the Company’s ethics programme
- Report on the Company’s ethics performance to the ethics champion and executive management, and to the relevant

governance structure on a regular basis
- Identify ethics risks and opportunities to establish and maintain the Company’s ethical culture
- Provide management with advice about how they can improve management processes while remaining ethical or increasing

emphasis on ethics
- Reviewing the Company's operations and codes of conduct to evaluate how effectively they practice ethics and identify new

ways to implement ethical practices companywide
- Conducting investigations, in collaboration with Group Forensic and other relevant stakeholders into reports of unethical

practices or situations
- Keep a register of all employees under investigation and those disciplined for unethical conduct
- Performing audits to gain more information about the Company’s ethical practices, identify internal controls that must be

improved
- Creating procedures for responding to reports of unethical practices and workplace conflicts
- Manage conflicts of interest, including:

- financial disclosures related to employees,
- departmental gift registers.
- Maintain detailed records to enable management to track progress and identify other areas for improvement
- Integrate activities of other enabling partners and external service providers to accomplish a variety of ethics assessments

and interventions
- Design and implement ethics awareness programmes.
- Responsible for conveying factual information on ethics in the organisation, while being sensitive to the level of

understanding of the receiver of the message
- Advocate the ethics cause as the custodian of ethic management for the Company;
- Meeting with various teams and training them on ethical best practices
- Develop and provide an ethics progressive and onboarding training materials Company wide;
- Assess the levels of awareness and perceived effectiveness of ethics management interventions within the Company and

make recommendations;
- Provide guidance and advice on organisational ethics-related matters to the governing body, senior management and all

other employees.
- Facilitate all related interventions to institutionalise the ethics in collaboration with enabling partners;
- Ensure that ethics is a criterion in the selection, promotion and performance management of employees;
- Benchmarking the organisation's ethics management programmes to ensure leading practices are implemented
- Monitor the implementation of the ethics management plan and, in particular, the systems, interventions, ethical culture,

material ethics risks and trends
- Editing and quality control: Responsible for ensuring the accuracy and quality of a company's written materials;
- Provide trusted and reliable advice and support to, key stakeholders including Board, Committee members and the

Executive Management Team
- Shares knowledge of ethics governance principles, processes and concepts with a view to advising others
- Ensures compliance with applicable legislation, including the PFMA, Companies Act, National Ports Act, Memorandum of

Incorporation as well as the King IV
- Conducts continuous research, development and benchmarking to stay abreast of relevant legislation and regulations
