**JOB DESCRIPTION**
- Providing the Board and Executive Committee collectively and individually with guidance in their duties, responsibilities and powers and how such should be properly discharged in the best interests of the company.
- Ensuring that minutes of all stakeholder meetings, board meetings and the meetings of any board committees or of the audit committee are properly recorded in accordance with the Act.
- Manage budget in accordance with LGSETA policies & procedures to ensure no unauthorised, wasteful & irregular expenditure.
- Ensure the publication and maintenance of standard protocol document for Board management and related processes.
- Actively support & stimulates continuous development by promoting knowledge acquisition, sharing & transfer by means of internal knowledge sharing platform.
- Ensures services to stakeholders are delivered timeously & accurately as prescribed in stakeholder requirements.
- Ensure duplicate copies of critical documents are held offsite as part of a disaster recovery programme.
- Monitoring all legislative, regulatory and corporate governance developments that might affect the companys operations, and ensure that the Board is fully briefed on these.
- Assisting the chairperson and chief executive to develop an Annual Board Work Plan, Board development plan and review of board policies and governance frameworks.
- Implementing a system of measuring and managing compliance.
- Ensuring that a copy of the companys annual financial statements is sent to every person entitled to receive it within the stipulated period.

**JOB REQUIREMENTS**

**Qualifications**:

- B-degree in Law or Financial Field (NQF 7) with a good understanding of the other discipline.
- 10 years relevant experience of which at least 4 years must have been in a Company Secretariat role and experience as a legal advisor would be ad added advantage.
- Must be eligible to be appointed as Company Secretary as per the South African Companies Act 2008.
- Member of the Compliance Institute of South Africa would be preferable.
