Job Description:We are seeking a Head of Legal to lead our legal operations, ensuring compliance with all relevant laws and regulations in many jurisdictions, with a specific focus on South African tax, trusts, commercial law and litigation.
1. Legal Advisory and Compliance- Ensure the company's operations comply with South African tax regulations and global crypto-related compliance requirements.
- Advise on legal risks and implications of business strategies, projects, and transactions.
- Monitor changes in laws and regulations, especially in the cryptocurrency and media sectors, specifically within South Africa and the United Arab Emirates.
- Provide guidance on South African tax matters, including VAT, income tax, and corporate tax obligations in line with our Financial Directors and finance teams.
- Oversee the structuring, establishment, and management of trusts as needed for business operations.
- Draft, review, and negotiate a wide range of contracts, including staff agreements, contractor agreements, and third-party vendor contracts; as well as partner agreements and commercial agreements.
- Ensure that all contractual obligations align with South African commercial laws and company policies at all times, and help guide the United Arab Emirates operations.
- Develop and implement corporate governance frameworks to ensure legal and ethical compliance.
- Maintain accurate and comprehensive legal records.
- Identify potential legal and compliance risks and implement mitigation strategies.
- Work with internal teams to ensure compliance with intellectual property laws, advertising standards, and content licensing requirements.
- Collaborate with external legal advisors and regulatory bodies as necessary.
- 7+ years of legal experience, with a strong focus on South African tax law, trusts, and commercial law.
- Proven experience in the crypto, media, or technology sectors is a significant advantage.
- LLB or equivalent degree; admission as an attorney in South Africa preferred.
- Expertise in drafting and negotiating contracts and agreements.
- Strong knowledge of regulatory frameworks related to cryptocurrency and media industries.
- Exceptional analytical, organizational, and problem-solving skills.
- Ability to work independently and lead a team in a fast-paced environment.
